HomeMy WebLinkAbout909317ASSIGNMENT OF OVERRIDING ROYALTY INTEREST 00508 KNOW ALL MEN BY THESE PRESENTS, that XL Land, LLC, of 1645 Court Place, Suite 422, Denver, CO 80202, hereinafter called Assignor, for and consideration of the sum of TEN and MORE Dollars, ($10.00 and More), cash in hand paid and other good and valuable consideration, the receipt of which is hereby acknowledged, does hereby grant bargain, sell, convey, transfer, assign and deliver to the following Assignee: Stacie L. Kerber 5161 West Tufts Ave. Denver, CO 80236 100.00% in the proportions set forth above, 100% interest in all of the Overriding Royalty Interest (Override) currently owned by Assignor in the leases and lands set forth on the attached Exhibit "A" (The Leases). Assignor, for itself, its successors and assigns, does covenant with the said Assignees, its successors and assigns, that it is the lawful owner of the rights and interests hereunder, insofar as conveyed by this instrument, that Assignor has good right and authority to sell and convey the same, and that said rights, interests and properties are free and clear of all liens and encumbrances affecting said rights. The Override is assigned free and clear of all drilling, testing, equipping, completing and operating costs and expenses. However, the Override shall be subject to all taxes which are applicable to the Override or the production which is attributable to the Override. This includes, without lilnitation, all production, severance, excise, or similar taxes attributable to the Override and other costs and charges applicable to or borne by any lessor under the terms of the Leases. No payments to the Override will be made or shall accrue on any oil, gas and casinghead gas or other hydrocarbon substances or minerals used for operating, developing, or producing purposes on the Lands under the Leases, or in treating the products produced to make them marketable, or which are unavoidably lost.
