ASSUMPTION AGREEMENT
THIS CONVEYANCE, ASSIGNMENT, BILL OF SALE AND ASSUMPTION
AGREEMENT (together with the exhibits and schedules hereto, the "Conveyance") is executed
effective as of the Effective Time (as defined below) by and between Mountain Gas Resources, Inc.,
a Delaware corporation (the "GRANTOR") having as its address 1099 18th Street, Denver, Colorado
80202, and Mountain Gas Transportation, Inc., a Delaware corporation ("GRANTEE"), having as its
address 1099 18th Street, Suite 1200, Denver, Colorado 80202. GRANTOR and GRANTEE each
may be referred to in this Conveyance individually as a "party_" and collectively as the "Parties."
FOR TEN DOLLARS AND OTHER GOOD AND VALUABLE CONSIDERATION, the
receipt and sufficiency of which is hereby acknowledged, GRANTOR hereby agrees to grant,
bargain, sell, assign, convey, transfer and deliver the Assigned Property (as defined below) unto
GRANTEE and its successors and assigns forever, and GRANTEE hereby agrees to purchase and
acquire the Assigned Property from GRANTOR all as more fully described below:
,GRANT, HABENDUM, RESERVATION AND WARRANTY
1.1 Grant; HabendUm. GRANTOR does hereby grant, transfer, bargain, sell, convey, and assign
to GRANTEE and its successors and assigns forever, for all purposes at and as of 12:01 A.M.,
Mountain Standard Time, on June 1, 2005 (the "Effective Time"), all of the properties and assets
described on Exhibit A attached hereto (the "Assigned Property"), TO HAVE AND TO HOLD,
subject to the terms, exceptions and other provisions herein stated, the Assigned Property unto
GRANTEE and unto its successors and assigns forever.

1.2 Warranty. The Assigned Property is granted, transferred, bargained, sold, conveyed, and
assigned without warranty of any nature, whether express, implied or statutory.
II.
MISCELLANEOUS
2.1 Further Assurances. The Parties agree to take all such further actions and to execute,
acknowledge, and deliver all such further documents as are necessary or useful to more effectively
convey, transfer to or vest in GRANTEE the Assigned Property or to better enable GRANTEE to
realize upon or otherwise enjoy any of the Assigned Property or to carry into effect the intent and
purposes of this Conveyance.
2.2 Successors and Assigns. The provisions of this Conveyance shall bind and inure to the
benefit of GRANTOR and GRANTEE and their respective successors and assigns. Nothing in this
Conveyance shall, or shall be construed to, prejudice the rights of GRANTEE to contest any claim or

demand of any third person as fully as GRANTOR might have done.
2.3 GOVERNING LAW, JURISDICTION AND VENUE. THIS CONVEYANCE AND
THE LEGAL RELATIONS BETWEEN GRANTOR AND GRANTEE HEREUNDER
SHALL BE GOVERNED AND CONSTRUED IN ACCORDANCE WITH THE LAWS OF
THE STATE OF COLORADO, EXCLUDING ANY CONFLICTS OF LAW RULE OR
PRINCIPLE THAT MIGHT REFER CONSTRUCTION OF SUCH PROVISIONS TO THE
LAWS OF ANOTHER JURISDICTION.
2.4 Exhibits. All exhibits and schedules attached hereto are hereby made a part hereof and
incorporated herein by this reference. References in such exhibits and schedules to instruments on
file in the public records are notice of such instruments for all purposes. Unless provided otherwise,
all recording references in such exhibits and schedules are to the appropriate records of the counties
in which the Assigned Property is located. For recording purposes, a memorandum of this
Conveyance may be recorded and pOrtions of the exhibits and schedules may contain only that
portion of the Assigned Property that is real property that is located in the county in which this
Conveyance is filed.
2.5 Captions. The captions and article and section numbers in this Conveyance are for
convenience only and shall not be considered a part of or affect the construction or interpretation of
any provision of this Conveyance.
2.6 Counterparts. This Conveyance may be executed in one or more originals, but all of which
together shall constitute one and the same instrument.
This Conveyance is executed to be effective for all purposes as of the Effective Time set forth
above in Section 1.1.

The Bravo Lateral is approximately 33 miles of primarily 6" and 8" pipe originating in
Section 15, Township 19 North, Range 98 West and terminating at the Higgins Lateral in Section 1,
Township 19 North, Range 100West, Sweetwater County, Wyoming. The Bravo Lateral includes
the following sub-laterals:
- 4" laterals in Sections 9, 16 and 15, Township 21 North, Range 99 West
- 4" lateral originating in Section 23 and terminating into the Bravo main lateral in Section
27, Township 21 North, Range 99 West
- 3" lateral originating in Section 33 and terminating into the Bravo main lateral in Section
35, Township 21 North, Range 99 West
Y' lateral in Section 8, Township 20 North, Range 99 West
The Bravo Lateral transports non-pipeline quality wellhead gas at 200-300 pounds pressure
for ultimate processing and compression at the Patrick Draw Processing Plant.
The Higgins Lateral is approximately 41 miles of primarily 6" pipe, which is generally
located between Section 24, Township 18 North, Range 98 West and Section 1, Township 19 North,
Range 100 West, Sweetwaler County, Wyoming. This lateral includes the following sub-laterals:
4.5" lateral which originates in Section 14 and terminates into the main Higgins lateral in
Section 21, Township 18 North, Range 98 West.
Two 4" laterals, which terminate into the main Higgins Lateral in Sections 13, and 12,
Township 18 North, Range 100 West.
4" lateral which terminates into the main Higgins Lateral in Section 6,
Township 18 North, Range 99 West
- 4" lateral which terminates into the main Higgins Lateral in Section 31,
Township 19 North, Range 99 West
- 6 and 4" lateral which terminates into the main Higgins Lateral in Section 30,
Township 19 North, Range 99 West
The Higgins Lateral transports non-pipeline quality wellhead gas at 200-300 pounds pressure
for ultimate processing and compression at the Patrick Draw Processing Plant.
The Desert Springs Lateral is approximately 5 miles of 10', originating in Section 9 of
Township 19 North, Range 98 West and terminating at the inlet of the Patrick Draw plant in Section
25, Township 19 North, Range 99 West, Sweetwater County, Wyoming. This lateral transports non-
pipeline quality gas at 200-300 pounds pressure for processing and compression at the Patrick Draw
Processing Plant.
Pine Butte Lateral is approximately 20 miles of 12" pipe originating in Section 11, Township
16 North, Range 101 West and terminating at the inlet of the Patrick Draw plant in Section 25,
Township 19 North, Range 99 West, Sweetwater County, Wyoming. This lateral transports non-
pipeline quality gas from the Brady Plant, which removes CO2 and H2S, to the Patrick Draw Plant
for liquids extraction.
The Storm Shelter Lateral is approximately 13 miles of 6" and 3 miles of 8". The lateral
generally forms a "T" with the two ends of the "T" originating in Section 24 and Section 30,
Township 23 North, Range 112 West and the bottom of the "T" terminating into MGR's gathering
system in Sectionl 5, Township 22 North, Range 112 West, Lincoln County, Wyoming. Among
several small stub laterals, the Storm Shelter lateral includes a 6" lateral, which originates in Section
28 and terminates into the main Storm Shelter lateral in Section 33, Township 23 North, Range 112
West. This lateral transports non-pipeline quality gas at approximately 380 pounds pressure for
ultimate delivery to the Granger processing plant.
The Bruff Lateral is approximately 7 miles of primarily 6 and 8" originating in Section 33,
Township 18 North, Range 112 West, Uinta County, Wyoming and terminating into Overland Trail
Transmission, LLC in Section 15, Township 18 North, Range 111 West, Sweetwater County,
Wyoming. This includes the following two sub-laterals:
0.7 mile 3" lateral originating and terminating into the main Bruff lateral in Section 27,
Township 18 North, Range 112 West.
0.8 mile 8" lateral originating in Section 23 and terminating into the main Brufflateral in
Section 14, Township 18 North, Range 112 West.
The Bruff Lateral transports wellhead gas at 800 pounds pressure.
