RATIFICATION OF OIL AND GAS LEASE
KNOW ALL MEN BY THESE PRESENTS:
By Oil and Gas Lease dated the 12th day of April, 2002 (the "Taliaferro Lease"), Thomas
Taliaferro, also known as Thomas S. Taliaferro IV, also known as T.S. Taliaferro IV, and Linda Taliaferro,
husband and wife, as lessor, leased the following described lands located in Lincoln County, Wyoming to
Hanson & Strahn, !nc., as lessee, for a primary term of three years:
Township 23 North, Range 113 West, 6th P.M.
Section 14: Lot 3(31.02), SE1/4NW1/4, NE1/4SW1/4, W1/2NE1/4, less and except the
following tracts of land:
A tract of land described as follows: Beginning at a point on the
southern boundary line of the NE1/4SW1/4 from whence the southwest
corner of said Section 14 bears south 57°1, west 36.85 chains; thence
north 89°53' east, 9.95 chains; thence north 6.99 chains; thence south
52o13, west, 11.45 chains to the place of beginning, containing 3.16
acres, more or less.
A parcel of land 200 feet in width situate in the SW1/4NE1/4 of said
Section 14, described as follows: Beginning at the 16/16 corner of said
Section 14; thence south 89o53, west 4.71 chains; thence north 48033,
east, 6.28 chains, thence south 4.15 chains to the point of beginning,
containing 0.85 acres, more or less.

A Memorandum of Oil and Gas Lease dated April 12, 2002, was recorded on June 12, 2002, in Book
491PR, Page 629 of the records of Lincoln County, Wyoming.
The Taliaferro Lease was assigned by Hanson & Strahn. Inc. to Cabot Oil & Gas Corporation by
that certain Assignment of Oil and Gas Lease dated June 17, 2002, recorded on September 23, 2002, in
Book 499PR, Page 854.
The Taliaferro Lease grants to the lessee the option to extend the term of the Taliaferro Lease from
three years to eight years by making the payment specified in the Taliaferro Lease by the time specified.
The undersigned hereby acknowledges timely receipt of the amount necessary to extend the primary term
of the Taliaferro Lease from three years to eight years. Hanson & Strahn, Inc., on behalf of Cabot Oil &
Gas Corporation, filed an Affidavit of Lease Extension dated April 4, 2005, recorded on April 8, 2005, in
Book 582, Page 717, stating that the term of the Taliaferro Lease, among other leases, had been extended
from three years to eight years.
By Release of Oil and Gas Leases dated May 3, 2005, recorded on May 13, 2005, in Book 585,
Page 229, Cabot Oil & Gas Corporation released the Taliaferro Lease. The release of the Taliaferro Lease
by Cabot Oil & Gas Corporation was unintentional and inadvertent, and the Release of Oil and Gas Leases
was subsequently rescinded by that certain Rescission of Release of Oil and Gas Leases dated Julyl4,
2005, recorded on July 27, 2005 in Book 592, Page 414. The undersigned acknowledges that the execution
and recording of the release of the Taliaferro Lease was unintentional and inadvertent.
Now, therefore, for valuable consideration, the receipt and sufficiency of which is hereby
acknowledged, the undersigned does hereby ratify, adopt and confirm the Taliaferro Lease insofar as it
covers the lands described above; does hereby lease, demise and let the lands covered by the Taliaferro
Lease described above to Cabot Oil & Gas Corporation, and its successors and assigns, subject to and under
all of the terms and provisions of the Taliaferro Lease, as extended: declares that the lease is in full force

and effect; and declares that the primary term of the Taliaferro Lease has been extended from three years to
eight years.

day of August, 2005, personally appeared Thomas Taliaferro, also known as Thomas S. Taliaferro IV, also
known as T.S. Taliaferro IV, and Linda Taliaferro, to me known to be the identical person, described in and
who executed the within and foregoing instrument of writing and acknowledged to me that they duly
executed the same as their free and voluntary act and deed for the uses and purposes therein set forth.
