DEEMAR AS CO-TRUSTEES OF THE IRVING R. DEEMAR TRUST DECLARATION, uftla dated SEPTEMBER 23,1992, whose address is 1812 Admiral Court, GJenview, IL 60026, ("Assignors"), for the sum of Ten ($10.00) Dollars and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged by Assignor, does hereby, ? CONVEY, TRANSFER, ASSIGN AND SET OVER, an undivided 50% interest to SHARON DEEMAR SZACHOWICZ AS TRUSTEE OF THE SHARON DEEMAR SZACHOWICZ TRUST DECLARATION, uftla dated MARCH 24, 2004, a!ld an undivided 50% interest to IRA M. DEEMAR AS TRUSTEE OF THE IRA M. DEEMAR TRUST, ultla dated APRIL 14,2004, as Tenants in Common, ("Assignees"), all right, title and interest to an overriding royalty interest payable out of all oil, gas, casinghead gas and associated substances produced, saved and marketed from the lease{"Lease") and described on Exhibit "A" attached hereto, subject to any applicable pooling, unitization or similar agreement, statute or order. /J U cl \.( L . TO HA VE AND TO HOLD the interest herein transferred and assigned unto Assignees, their successors and assigns, forever, subject to the following terms and conditions: 1. The overriding royalty interest assigned herein shall be calculated and paid in the same manner and subject to the same terms and conditions as the landowner's royalty under the Lease. 2. The overriding royalty interest herein conveyed is payable out of and only out of oil and gas produced, saved and marketed pursuant to the terms and provisions of the Lease, and is expressly subject thereto. 3. The overriding royalty interest herein conveyed shall not, in any event, be paid or accrued upon any oil, gas, casinghead gas and other hydrocarbon substances used for operation, development or production purposes or unavoidably lost; and no overriding royalty shall be paid upon gas used in re-pressuring or recycling operations or pressure maintenance operations. 4. The provisions hereof shall inure to the benefit of and be binding upon the respective successors and assigns of the parties. S.
