TEMPORARY ROAD EASEMENT AND ACCESS AGREEMENT
WESTERN WYOMING RANGE LIMITED PARTNERSHIP, a Wyoming limited
partnership, an 80.43478% owner, whose mailing address is P.O. Box 336, Lyman, WY
82937 and BROADBENT LAND AND RESOURCES, L.L.c., a Utah limited liability company,
an undivided 19.56522% owner, whose mailing address is P.O. Box 734, Evanston, WY
82931, as tenants in con;¡mon, GRANTOR, do hereby grant to RENDEZVOUS GAS
SERVICES, L.L.c.., a Wyoming Limited Liability Company, whose mailing address is 1050
17th Street, Suite 500, Denver, CO 80265, GRANTEE, its successors and assigns, for the
sum of ten dollars ($10.00), and other good and valuable consideration, receipt of which
is hereby acknowledged, a temporary road access.
WITNESSETH:
WHEREAS, Western Wyoming and Broadbent are the owners of the surface and
surface rights in and to the following described lands situate in Uinta and Lincoln County,
Wyoming.
WHEREAS, Rendezvous needs access to said operations over and across the surface
of lands owned by Western Wyoming and Broadbent, described on Exhibit "A".
WHEREAS, Western Wyoming and Broadbent are willing to execute and enter into
a temporary road easement and access agreement with Rendezvous under the terms and
conditions hereinafter expressed;
NOW THEREFORE, IT IS HEREBY understood and agreed by and between the
parties as follows:
I.
That for and in consideration of the cash payment to be made by Rendezvous to
Western Wyoming and Broadbent as hereinafter set forth and the other covenants and
agreements of Rendezvous hereinafter stated, Western Wyoming and Broadbent do
hereby grant and convey to Rendezvous a private easement across the lands described
on Exhibit "A" attached hereto and incorporated herein by this reference for the purpose
of enabling Rendezvous to use the access roads to its pipeline construction operations
as shown 0/1 Exhibit "A". Such road to be maintained at the sole cost and expense of
Rendezvous. The considerations herein recited shall cover all damages caused by said
access road to growing crops located upon the above ground when the easement was
originally granted.

It is understood that Rendezvous agrees to pay Western Wyoming and Broadbent
the consideration hereinafter provided for a private easement to be used by Rendezvous,
its agents, servants, employees, and successors in interest for access to said facilities.
Rendezvous agrees to install cattle guards at its expense at any point that said access
road should cross an existing fence line; provided however, Western Wyoming and
Broadbent agree that Rendezvous shall not have to fence the sides of said access road,
and it is understood that the sides of said access road shall not be fenced at any time
without the written consent of Western Wyoming and Broadbent first had and obtained.
I II .
It is expressly understood that said roadway shall not exceed twenty (20) feet in
width plus barrow pit, and that Rendezvous shall use the roadway as now designated and
that said roadway shall not be changed without written permission of Western Wyoming
and Broadbent first had and obtained.
IV.
(1) In addition to the cash consideration to be paid by Rendezvous to Western
Wyoming and Broadbent as hereinabove indicated, Rendezvous likewise shall be
responsible for and pay all damages incurred by Western Wyoming and Broadbent by way
of damage to livestock owned by Western Wyoming's partners, Broadbent or their
respective lessees when said damage occurs along the access road unless Rendezvous can
affirmatively prove that said damage to livestock or loss thereof was caused by the
actions of Western Wyoming, Broadbent or their agents, employees or invitees.
(2) Rendezvous shall, at its expense, protect the roadway from surface erosion
and will control all noxious weeds and poisonous plants within the disturbed area of the
easement.
(3) Rendezvous shall at its expense construct approaches from the access road
to all trail roads leading therefrom. Such approaches to be constructed in such a manner
that motor vehicles may use the same in the ordinary course of travel to and from the
main roads. In the event the road hereinabove described is abandoned, all or any
portion of the road shall, at the option of Western Wyoming and Broadbent, be left in
their then existing condition or said easement shall be rehabilitated by filling the barrow
areas and leveling the easement to the existing contour of the land and then reseeded
at the rate of 15 lbs. / acre when drilled and 30 lbs. / acre when broadcast with the
following mixture:

Rendezvous agrees to seed the easement as many times as required so as to obtain
a successful stand of native grasses throughout the entire easement. Only seed certified
to be 95 percent pure and with a germination percentage of 85 percent will be used.
Rendezvous will furnish the certification to Western Wyoming and Broadbent prior to the
seeding operation.
In order to insure the best conditions for see germination, seeding and mulching
of the disturbed area, will be conducted as follows:
a. The topsoil shall be uniformly spread on the disturbed areas.
b. Before seeding, the entire seed bed shall be scarified or disc-
harrowed, leaving definite furrows, to a depth of approximately six inches
and left in an uncompacted, workable condition for seeding.
c. The seed shall be applied by drilling or broadcasting as
described above, followed by the mulching operation using straw or hay,
at the rate of 1 Y2 tons/acre.
d. After spreading the dry mulch, it shall be anchored in the soil
with a smooth or serrated coulter disc harrow, manufactured expressly for
crimping mulch.
e. The time of seeding should normally be before June 15 and/or
after September 1, so long as there is no frost in the ground. Seed shall
not be broadcast when the weather is windy or unsuitable for the work.
v.
It is understood that this easement shall be a private easement only in favor of
Rendezvous and its servants, employees and agents, and that Rendezvous shall not have
the right to enter into any agreement with third parties relative to the use of said road
without the prior written, mutual consent of Western Wyoming and Broadbent.

VI.
Western Wyoming and Broadbent reserve the right for themselves and their
employees, servants, partners, lessees and agents to use said roadway without charge.
VII.
Rendezvous agrees to use its best efforts to control the speed over said access
road so as to protect the livestock that may be in the area, and to keep the roadway and
the approaches thereto reasonably free from litter and debris.
VIII.
Rendezvous, its successors or assigns, shall indemnify and hold harmless the
Western and Broadbent, their directors, officers, agents, partners, lessees and
employees against and from any and all liability, loss, damage, claims, demands, costs,
and expenses of whatsoever nature, including court costs and attorney's fees, which may
result from injury to or death of persons whomsoever, or against and from damage to or
loss or destruction of property whatsoever, when such injury, death, loss, destruction
or damage is due or arises because of the use or occupancy of the premises by
Rendezvous.
IX.
Rendezvous shall give Western and Broadbent prior written notice of any
archeological and/or historical surveys which Rendezvous or its agents, servants,
employees, contractors and subcontractors complete and/or perform on the premises
identified on Exhibit "A" and results obtained in such survey shall be submitted to
Western and Broadbent. Any artifacts or other property found by Rendezvous, its
agents, servants, employees, contractors or subcontractors shall be immediately
preserved and delivered to Western and Broadbent.
X.
This agreement shall be a covenant running with the lands described above for the
term hereof, and shall be binding upon the undersigned, their respective heirs,
successors, and assigns. This is a temporary road access and easement agreement and
shall be valid from August 1, 2006 to November 15, 2006, at which time this agreement
shall terminate and Rendezvous and its successors in interest or assigns shall have no
further rights hereunder.

The following provisions are also integral parts of this lease agreement:
a. This agreement constitutes the entire understanding and
agreement between the parties relating to the subject matter hereof and
supersedes all prior agreements, representations or understandings
between the parties relating to the subject matter hereof.
b. This agreement may not be modified except by an instrument
in writing signed by the parties hereto.
c. This agreement shall be interpreted, construed and enforced
according to the laws of the State of Wyoming.
d. The parties agree that in the event any action or court
proceeding is brought by either party to enforce the obligations under this
Agreement, the prevailing party shall be entitled to recover any reasonable
attorney's fees, together with court and collection costs.
e. All notices, demands, requests and other writings required or
permitted to be given hereunder shall be deemed duly given if delivered
or if mailed by registered or certified mail, postage prepaid, addressed to
the following:

Either party shall have the right to specify in writing in the manner above
provided, another address to which subsequent notices or writings to such party shall be
given. Any notice given hereunder shall be deemed to have been given as of the date
delivered or mailed.
