This Overriding Royalty Assignment. made this ~ day of November, 2005. by and between
RICHARD A PETERSON TRUSTI DATED 5.18.011 owner of said royalty. and ROEC, Inc.. whose address
is 528 South Corona Street. Denver. CO 80209, ~ and MILLER OIL & GAS ASSETSI LLC, whose
address is 16 Inverness Place East. Building B, Englewood, CO 80112. ffi.Q.ill hereinafter called Assignee.
Witnesseth;
Whereas. RICHARD A. PETERSON TRUST. dated 5-18-01, is the owner of said royalty on
Federal Oil and Gas lease dated Novemper 1.1977 bearing Serial No. W 59774. which lease, in so far
as covered by this Royalty Assignment. contains the following desclibed lands (hereinafter referred to as
said lands). situated in Un coin County, State of WvQmin9. towit:
T. 26 N., R. 111 W., 6th P.M.
Section 6: Lot 2, EJ2SW/4
119.89 acres more or less

NOW, Therefore. in consideration of the premises and the sum of Ten Dollars, and other valuable
consideration. receipt whereof is hereby acknowledged, the undersigned. hereby sells, conveys, transfers,
assigns and sets over unto Assignee. its heirs and assigns. an overriding royalty interest of One and two.
thirds Dercent Ii ~3%) of all the oil and gas and other hydrocarbon substances in place aod which
may be produced. saved and marketed from said lands. free and clear of all costs or expenses to Assignee.
(50% ROEC, Inc., and 50% Miller Oil & Gas Assets. LLC).

This Overriding Royalty Assignment shall be effective November 1, 2005.
The provisions hereof shall inure to and be binding upon the parties hereto, their heirs. assigns,
personal representative and successors. and said overriding royalty interest herein reserved to Assignee
shall un with said leasehold and all renewals and extensions thereof and aU preference-right and substitute
leases granted thereon. whether under said serial number or a new serialoumber. and whether issued to
Lessee or Lessee's successors or assigns.
