CERTIFICATE OF SALE
For value received, Mortgage Electronic Registration Systems, Inc.
with the address of 4828 Loop Central Drive, Houston, TX 77081, grants,
bargains, sells, transfers and assigns to Pledged Property II, LLC ("Assignee"),
whose mailing address is 4828 Loop Central Drive, Houston, TX 77081, its legal
representatives and assigns, all right, title, and interest in that certain Certificate
of Sale dated July 12, 2005, on the following described property:
Lot 3 of Block 6 of the Bedford Townsite, Lincoln
County, Wyoming as described on the official plat
thereof.
LESS AND EXCEPT the land contained in Quit Claim
Deed recorded August 2, 2001 in Book 469PR on
Page 905 of the records of the Lincoln County Clerk
with an address of
240 B Street, Bedford, WY 83112
Together with all improvements thereon situate and
all fixtures and appurtenances thereto,
which was sold at a foreclosure sale on July 12, 2005, and the Certificate of Sale
was filed on July 14, 2005, in/as Book 591 at Page 187 in the records of the
County Clerk and ex-officio Register of Deeds in and for Lincoln County,
Wyoming.
Assignee shall be substituted in the full place and stead of Assignor
and shall take all legal action he may deem proper or necessary in connection
with the Certificate of Sale assigned.
All acts, assignments and transfers under this assignment and all
rights of the parties under this assignment shall be governed by the laws of the
State of Wyoming.
All agreements of the parties are contained in this assignment
which cannot be modified except by written instrument signed by all parties.
