KNOW ALL MEN BY THESE PRESENTS:
THA T, the undersigned, MOUNTAIN GAS RESOURCES, INC., (a whol1~
owned subsidiary of Western Gas Resources, lnc) a Delaware COI1)oration, 1099 181
Street, Suite 1200, Denver, Colorado 80202, hereinafter refened to as "Assignor", for
and in consideration of the sum ofTen Dollars ($10.00) and other good and valuable
consideration, the receipt and suftìciency of which is hereby acknowledged, does hereby
convey, transfer, assign and set over unto LANCE OIL & GAS COlVIl)ANY, INC., (a
whol1y owned subsidiary of West em Gas Resources, Inc,), 1099 18111 Street, Suite 1200,
Denver, Colorado 80202, hereinafter referred to as "Assignee", all of Assignor's right,
title and interest in and to the following (the "Conveyed Premises"):
A. The oil and gas interests and other properties \vhich are specifically described
in Exhibit A attached hereto and made a pm1 hereof for al1 purposes;
B. Without limitation of the foregoing, all other rights, titles, interests and estates
(of whatever kind or character) of Assignor in and to the lands described or
refened to in Exhibit A, (or described in any of the leases or other instruments
described or refened to in Exhibit A), even though such interests in such lands
may be incolTectly described in, or a description of such interests in such
lands may be incolTectly described in, or a description of such interests in
such lands be omitted from Exhibit A;
C. Al1 rights, titles and interests of Assignor in anel to all presently existing and
valid oil, gas and/or mineral unitization, pooling, and communitization
agreements, declarations and orders relating to the proper! ies described in
subparagTaphs A and B above, and in and to the properties covered and the
units created thereby (including all units formed under orders, regulations,
rules, or other official acts of any governmental agency having jurisdiction
and including so called "working interest units" created under operating or
similar agreements);
D. Al1 rights, title and interests of Assignor in and to all presently existing and
valid oil and gas sales contracts, operating agreements, and other contracts,
agreements, and instruments which relate to any of the properties described in
subparagraphs A, Band C above.
E. Al1 rights, titles and interest of Assignor in and to all personal property,
improvements, lease and well equipment, easements, pem1its, licenses, rights-
of-way, and surface llse agreements (including, but not by way oflimitation,
all wells, wellhead equipment, pumping units, flowlines, tanks, buildings,
fixtures, machinery, injection facilities, salt water disposal facilities,
compression facilities, gathering systems, and other equipment), all easements
and rights-of-way, all pem1its and licenses, and all other appurtenances now
being used or held for use in connection with the exploration, development,
operation or maintenance of any of the properties described in subparagraphs
A, B, and C above.

TO HAVE AND TO HOLD unto Assignee, its successors and assigns, forever
This Assignment is subject to al1 existing contracts, agreements ane! other sllch
instruments affecting Assignor's interest in the Conveyed Premises.
This Assignment is made without wammty of title, either express or implied
except those claims arising by, through or under Assignor.
All of the provisions of this Assignment shall be available to and be binding upon
the respective heirs, executors, administrators, successors, and assigns of the Assignor
and Assignee herein.
This Assignmerit'is effective as of December 1, 2005, at the location of the
Conveyed Premises, respectively. All production before that date from the Conveyed
Premises shall be owned by Assignor and production after that date fì'om the Conveyed
Premises shall be owned by Assignee.
IN WITNESS WHEREOF, this Assignment of Oil and Gas Leases has been

December I, 2005.
