FINANCING STATEMENT AND FIXTURE FILING
THIS PARTIAL RELEASE OF MORTGAGE, SECURITY AGREEMENT,
ASSIGNMENT, FINANCING STATEMENT AND FIXTURE FILING (this
"Instrument"), dated as of December 1, 2005, is from BANK OF
O~, NATIONAL ASSOCIATION, a national banking association

B. ANDERSON LTD. d/b/a ANDERSON OIL COMPANY ("Mortgagor"), 6300
South Syracuse Way, Suite 470, Englewood, Colorado 80111,
RECITALS
A. Mortgagor executed and delivered to BOK a Mortgage,
Security Agreement, Assignment, Financing Statement and Fixture
Filing dated as of October 12, 2004 (the "Mortgage"), the terms
and provisions of which and the description of the property
covered by which are hereby incorporated herein by this
reference, filed and recorded, among other places, as follows:

B. In connection with the sale by Mortgagor in
December, 2005 of certain property interests, the parties desire
that the Mortgage and all related financing statements be
partially released INSOFAR AND ONLY INSOFAR as they cover and
relate to the following (the "Released Interests"), located in
Lincoln County, Wyoming: (1) all of Mortgagor's right, title and
interest in and to the leases, lands and wells described in
Exhibit "A" attached hereto and made a part hereof, and (2) the
related interests in accounts, general intangibles, instruments,
inventory, contract rights, equipment, proceeds and other real
and personal property included in the definition of "Collateral"
contained in the Mortgage and the related financing statements,
INSOFAR AND ONLY INSOFAR as they relate to the interests in the
leases, lands and wells being released as more fully described in
clause (1) above.
PARTIAL RELEASE
In consideration of Ten Dollars and other good and
valuable consideration, the receipt and sufficiency of which are
hereby acknowledged, BOK does hereby remise, release and forever
quitclaim to Mortgagor, its successors and assigns, all of the
right, title and interest which BOK may have under the Mortgage
and all related financing statements, INSOFAR AND ONLY INSOFAR as
they cover and relate to the Released Property.
