THIS MODIFICATION and EXTENSION. OF PROMISSORY NOTE AND
MORTGAGE, dated the 2nd day of August, 2005, is executed by and
between Borrower and Lender identified above.

A. On February 7, ,2005, Lender made a loan #112608 to
Borrower evidenced by Borrower's promissory note payable to Lender
in the original principal amount of $300,000.00, which, Note was
secured by a Mortgage executed by mortgagor for the benefit of
Lender covering the real property described on Schedule A below
and recorded in Lincoln County, Wy as Receiving No. 906406, Filing
date February 11, 2005, in Book 578 at page 676 and in Teton
County as Document No. 0643511 Filing date February 11 i 2005 in
Book 57'9 at pages 742-745. The Note and Mortgage and any other
related documents are hereafter cumulatively referred to as the
"Loan Documents."

B. The parties have agreed to Modify the Note and it is
necessary to provide for a similar Modification of Mortgage. The
parties agree as follows:
1. The parties acknowledge and agree th~ current principal
balance of this revolving r'ine of credit is $300,000.00.
The interest accrued as of August 2, 2005 is $1,348.97, ;
due and payable at the time of this extension.
2. The parties acknowledge and agree to increase the amount
of the loan by $40,000.00, to a total. of $340,000.00.
3. Borrower agrees to pay a Loan Fee of $200.00, a
fee of $11.00, along with interest for a
$1,559.97 due at the time of this modification.

4. Mortgagor represents and warrants that Mortgagor owns the
property free and clear of any liens or encumbrances other
than the liens described on Schedule B Below.
5. Except as expressly modified herein, all terms and

force and effect. The parties hereby adopt, ratify and
confirm these terms and conditions åS modified.
6. Mortgagor agrees to execute any additional documents that
