ASSIGNMENT OF OVE1ffiIDING ROYALTY INTERESTS
TillS ASSIGNMENT OF OVERRIDING ROYALTY INTERESTS (this "Assignment") is from DEN
Trust, also known as The Den Trust, DEN Irrevocable Trust or The DEN Irrevocable Trust, a trust established
under the laws of the State of Colorado whose address is 1512 Larimer Street, Suite 550, Denver, CO 80202
("Assignor") to BBE Holdings LLC, a Delaware limited liability company whose address is 1512 Larimer Street,
Suite 550, Denver, CO 80202 ("Assignee").
RECITALS
WHEREAS, this Assignment is executed and delivered in connection with and to carry out the dissolution
and termination of the Assignor.
WHEREAS, this Assignment is executed and delivered pursuant to that certain Receipt and Release giyen
by Assignee in favor of Babcock & Brown Energy Inc., and James V. Babcock and Robert S. Tomczak in their
capacities as Trustees of Assignor, dated effective December 31, 2005 ("Receipt and Release").
WHEREAS, the Receipt and Release shall survive the execution and delivery of this Assignment.
AGREEMENTS
NOW, THEREFORE, in consideration of the sum ofTen Dollars ($10.00), the receipt and sufficiency of
which is hereby acknowledged, Assignor does hereby sell, assign, quitclaim, transfer and convey to Assignee all of
Assignor's right, title and interest in and to any and all overriding royalty interests, including without limitation, all
of Assignor's right, title and interest in and to any and all overriding royalty interests covering and affecting the lands
described in EXHffiIT "A" (the "Lands"), it being the intention of Assignor to sell, assign, quitclaim, transfer and
convey to Assignee all of Assignor's overriding royalty interests in and to the oil, gas, casinghead gas and other
hydrocarbon substances produced, saved and sold from the Lands and any other lands, in each case pursuant to the
provisions of the oil and gas lease(s) as described in EXHffiIT "A", or any other oil and gas leases, and any
extension or renewal thereof or any new leases taken in lieu thereof.
This Assignment is subject to the provisions of any and all existing oil and gas lease(s), assignment(s),
operating agreement(s) or other contractual agreement(s) to which Assignor's overriding royalty interest is subject.
This Assignment is dated as of the date of the acknowledgement below but effective for all purposes as of
December 31,2005, at 7:00 A.M. at the location of each overriding royalty interest herein conveyed.
