'~·r'·':'·iKo',.«1S·.IVt.".~.:~ ".f":,;'· .:;;;,\;..,.;,......'.., COG519 ASSIGNMENT AND BILL OF SALE This ASSIGNMENT AND BILL OF SALE ("Assignment") dated the 1st day of December, 2005, and effective as of 7:00 a.m., Mountain Time, on the 1st day of December, 2005 ("Effective Time"), is from Laramide Exploration, LLC, 21390 East Progress Place, Centennial, CO 80015,(hereinafter referred to as "Assignor"), to Hunter Energy LLC, 8000 South Chester Street, Suite 375, Centennial, Colorado 80112, (hereinafter referred to as "Assignee"). FOR Ten Dollars and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, Assignor hereby GRANTS, CONVEYS, SELLS and ASSIGNS to Assignee, an undivided 100% (All right title and interest), to Hunter Energy LLC, in and to the following properties (real, personal or mixed) and rights (contractual or otherwise), such properties and rights being hereinafter referred to as "the Lands and Leases" more particularly described in Exhibit "A" hereto. TO HAVE AND TO HOLD the Properties, together with all and singular the rights and appurtenances thereunto in anywise belonging, unto Assignee, its successors and assigns, forever, subject to the following terms and conditions: 1. Special Warranty Of Title. Assignor warrants and shall defend title to the Properties conveyed to Assignee against every person whomsoever claiming the Properties or any part thereof by, through and under Assignor, but not otherwise. 2. Successors and Assigns. The terms, covenants and conditions contained in this Assignment shall be binding upon and inure to the benefit of the parties hereto and their respective successors and assigns, and such terms, covenants and conditions shall be covenants running with the land and with each subsequent transfer or assignment of the Properties, or any part thereof. 3. Further Assurances. Assignor and Assignee agree to take all such further actions and to execute, acknowledge and deliver all such further documents that are necessary or useful in carrying out the purpose of this Assignment including but not limited to Bureau of Land Management assignment forms. 4. Lesser Interest. If any of the Leases cover less than a 100% interest in the oil, gas or other minerals in all or any part of the leased lands, then the interest conveyed shall be reduced in proportion which the interest therein, if any, covered by that lease, bears to the whole and undivided mineral estate therein. 5. Counterparts. This Assignment may be executed in multiple counterparts each of which shall for all purposes be deemed to be an original and all of which are identical.
