ASSIGNMENT OF OVERRIDING ROYALTY INTERESTS
KNOW ALL MEN BY THESE PRESENTS:

HUNTER ENERGY LLC, a Delaware limited liability company whose address
is 8000 South Chester, Suite 375, Centennial, Colorado 80112, (hereinafter referred to
as "Assignor"), for and in consideration of sum of Ten Dollars ($10.00) and other good
and valuable consideration, the receipt and sufficiency of which are hereby
acknowledged, does hereby GRANT, ASSIGN, TRANSFER AND CONVEY, subject to
the terms and provisions herein contained, unto JDW, INC., a Texas corporation,
whose address is 1300 So. University Dr., Suite 410, Ft. Worth, Texas 76107
(hereinafter referred to as "Assignee") an overriding royalty interest (free and clear of
all cost and expense of exploration, drilling, development and operation, but except for
and subject to its proportionate share of actual third party costs incurred for gathering,
transportation and marketing, and its proportionate share of severance, ad valorem and
other similar taxes) equal to 0.25% of eight-eighths of all oil, gas and other
hydrocarbons produced, saved and marketed from or by virtue of each oil, gas and other
mineral lease described on Exhibit "A" attached hereto and made a part hereof (the
"Leases") insofar as the Leases cover and affect the lands described on said Exhibit A
(the "Lands"), or any extensions or renewals thereof, reduced in proportion to the
working and mineral interest of Assignor in each such Lease.
TO HAVE AND TO HOLD unto Assignee, and its successors and assigns
forever.
Assignor and Assignee, in mutual consideration hereof, agree to the following
terms and conditions:
1. This Assignment of Overriding Royalty Interests shall be effective 12:01 a.m.
Mountain Standard Time, January 1,2006 (the "Effective Date").
2. Assignor makes no warranty, express, implied or statutory, as to any of the rights,
titles or interest hereby conveyed, except that Assignor warrants title to overriding royalty
interest herein conveyed against all persons lawfully claiming the same, or any part thereof,
by, through or under Assignor, but not otherwise.
3.' The overriding royalty interest herein conveyed is conveyed free and clear of the lien
and security interest created by that certain Mortgage (With Power of Sale), Assignment of
Proceeds of Production, Security Agreement and Financing Statement of even date herewith
from Assignor for the benefit of and to Assignee.
This Assignment of Overriding Royalty Interests and all rights and covenants in
connection herewith shall be binding upon the parties hereto, their respective heirs,
successors, and assigns, and the covenants hereof shall run with the leasehold interest
and lands.
