A. On April 11, 2005, Lender made a loan #113272 to Borrower
evidenced by Borrower's promissory note payable to Lender in the
original principal amount of $170,000.00, which Note was secured
by 2 MortgageS executed by mortgagor for the benefit of Lender
covering the real property described on Schedule A below and
recorded as Parcel 1, Document No. 907699 Filing date April 18,
2005 in Book 583 at Page 211 in Lincoln County, WYand Parcel 2,
Document No. 907700 Filing date April 18, 1005 in Book 583 at Page
215 in Lincoln County, Wyand all Modifications of record. The
Note and Mortgage and any other related documents are hereafter
cumulatively referred to as the "Loan Documents."
B. The parties have agreed to Modify the Note and it is
necessary to provide for a similar Modification of Mortgage. The
parties agree as follows:
1. The maturity date of the Note is extended to May 11, 2006
at which time all outstanding sums due to the Lender
under the Note shall be paid in full.
2. The parties acknowledge and agree the current principal
balance of the loan is $170,000 and the interest _ as of
April 11, 2006 is $1,434.63 due and payable at the time
of this modification.
3. The parties acknowledge and agree to increase the amount
of the promissory note and mortgage by $17,000.00, to a
total of $187,000.00.
4. Borrower agrees to pay a Loan Fee of $170.00, and a
recording fee of $11.00, and a Title report fee of
$350.00. Total due at time of signing, including interest
due, is then $1,965.63.

5. Except as expressly modi£iêdhêiein, all terms
condi tions of the Loan Documents shall remain in
force and effect. The parties hereby adopt, ratify
confirm these terms and conditions as modified.

6. Mortgagor agrees to execute any additional documents
which may be required by Lender to carry out the
intention of this Agreement. As of the date of this
Agreement, there are no claims, defenses, setoffs or
counterclaims of any nature which may be asserted against
Lender by any of the undersigned.
