Ocean Energy, Inc.. a Louisiana corporation, reprGsented herein by tbe undersigned
officer. duly authorized. hereinafter referred to as "OEI",

who declared that it is the successor by merger to UMC Petroleum Corporation, a Delaware
corporation. who was the settlor of that certain trust, tbe Ocean Energy, Inc. Employee Trust
(fonnerly tbe UMC Petroleum Corporation Trust, fonnerJy known as the General Atlantic
Employee Trust) wlùch was created by Trust Agreement dated July 22, 1996, effective January
I, 1996 (the "Trust"). OEI further declared that the Trust is revocable at the option of OEl, OEI
has elected to temúnate the Trust and OEI does hereby tenninate and revoke the Trust and direct
the Trustees, Edward L. McLaughlin and Stephen T. Lapetouse. to distribute all of tbe Interests
and Revenues (as defined in'the Trust Agreement) of the Trustto OEI, effective January 1,2001.
THUS DONE AND PASSED in my presence and ia the presence of the undersigned
competent witnesses hereto, who sign with OEI and me, Notary, on the date aforesaid after due
reading of the whole.
