J \ C ,'"\ r' 1"'1 3 ' , ~. . . t.. ~ , . ,-J \~ U RIGHT OF FIRST REFUSAL ~ Rodwell Ranch, LLC, a Wyoming limited liability company, Grantor, for and in consideration of Ten and NOll 00 ($10.00) Dollars and other good and valuable consideration, in hand paid, receipt whereof is hereby acknowledged, does CONVEY AND WARRANT TO Cameron Properties Limited Partnership of P.O. Box 3649, Wilmington, North Carolina 28406 and LOTT Partnership II of P.O. Box 38, Candler, North Carolina 28715, a right of first refusal in and to the hereinafter described real property on the terms hereinafter set out. This right gives Grantee the right and option to purchase said property at the same price and on the same terms as those proposed by any purchaser otherwise acceptable to Grantor. Grantor shall not accept any offer to purchase all or any portion of said real property until such time as Grantee has been informed in writing of said offer. This required notice shall include the identity of the proposed purchaser, the proposed sale price and all terms of said proposed sale. Grantee shall then have a period of fourteen (14) days to exercise said right. If Grantee chooses to exercise said right, notice of exercise shall be given to Grantor in writing within said fourteen (14) day period. Any notice required hereunder shall be considered effective upon deposit in the U.S. mail, postage prepaid, certified mail, return receipt requested or by personal delivery to one ofthe persons to whom notice is being given. The exercise of said right within said time frame shall create a contract to selland buy between Grantor and Grantee as to the real property at the same price and on the same terms as set out in the original notice to Grantee. If Grantee shall not exercise said right within said time frame, Grantor may proceed to sell the premises to the individual or entity named in the original notice to Grantee at the same price and on the same terms set out therein, this right shall be null and void and the Grantee shall execute a waiver of all rights in and to said right of first refusal upon the request ofthe Grantor. Ifhowever, the proposed sale does not close at the same price and terms, this right shall continue to be in full force and effect. The concerned real property shall not be conveyed other than by bona fide sale which is subject to the provisions of this right of first refusal except as provided in this paragraph. The property may be sold or otherwise conveyed to Steve Walker if Steve Walker shall execute a Right of First Refusal granting unto Grantee the same rights granted by Grantor herein to Grantee. Any attempted sale or conyeyance of the concerned real property which shall not comply with the tenns of this agreement shall be void. This Agreement shall be subordinate and junior to the legal operation and effect of any present or future mortgage which is now or hereafter becomes a lien on the Property. In entering into this right of first refusal, Grantor releases and waives all rights under and by virtue of the homestead exemption laws of the state of Wyoming. The real property encumbered and bound by this Right of First Refusal is described as: NEl/4SWl/4 and NWl/4 SEl/4 of SECTION 6 T23N, Rl15W, 6th P.M., Lincoln Co., WY.
