Dr., Kerrville, Texas 78028 ("Grantors"), for and in consideration of Ten Dollars ($10.00) and
other valuable consideration, in hand paid, receipt of which is acknowledged, grant and convey to

Northstar Corporation, a Wyoming c~rporation with principal place of business located
at 111659 Highway 89, Alpine, Lincoln County, ,Wyoming (mailing address: PO Box 3048, Alpine,
WY 83128) ("Grantee"),
the following described non-exclusive, perpetual right-of-way easement for the following purposes:
1. Purpose of Easement. This Easement is for the purpose of providing a perpetual
non-exclusive 50-foot wide right-of-way easement for ingress and egress to the Property (described
in Paragraph 3) including the right to install. construct, reconstruct. repair, replace and maintain a
roadway, and including the right to inspect the easement.

2. Conditions of this Easement. The conditions of this Easement are:
a. It is a common easement for the mutual benefit of Grantors and
Grantee and their respective lands.
b. Grantee shall not fence the easement without Grantors' prior written
permission.
c. Grantors shall have no liability in connection with Grantee's use of the
easement for access or utilities to Grantee's Property. Grantee shall
indemnify and hold Grantors harmless from any and all liability to
Grantee or to any other þersons using the easement for access to
Grantee's Property or to perform services for Grantee in the
easement.
d. Wyoming law will govern this Easement and if one part of the easement
is found to be legally invalid by a court of law. that finding will not affect
the remainder of the easement.
e. This Easement will run with the land.
3. Property Benefited by Easement. This Easement is for the benefit of the following
described real property of the Grantee in Lincoln County. Wyoming ("Property"):

All real property more particularly described on that certain plat prepared to be filed
in the Office of the Clerk of Lincoln County titled, "PALISADE PINES AMENDED
WITHIN THE W%SE%NW% SECTION 20 T37N R118W LINCOLN COUNTY,

WYOMING", dated 7 November 200S, as revised.
4. Description of Easement. The easement is described as follows:
A strip of land fifty (SO) feet in width, within the NEXNWX of Section 20. T37N
R118W, being part of that tract of record in the Office of the Clerk of Lincoln County
in Book 4SS of Photostatic Records on page 779, described as follows:
BEGINNING at the southwest corner of said NE%NW%;
thence NOoo-04'-17"W, SO.OO feet, along the west line of said NEXNW%, to a point;
thence N89°-S6'-3S"E, 3S0.76 feet, along a line parallel with the south line of said
NEXNWX, to a point;
thence SOoo-04'-17"E, SO.OO feet, along a line parallel with the west line of said
NEXNWX, to a point on the south line of said NEXNWX;
thence S89°-S6'-3S"W. 3S0.76 feet, along said south line, to the CORNER OF
BEGINNING;
the BASE BEARING for this survey is the south line of the SW%NW% of Section 20,
T37N R118W, being S89°-SS'-23"W;
each "corner" found as described in the Corner Record filed or to be filed in the
Office of the Clerk of Lincoln County;
each "point" marked by a S/8" x 24" steel reinforcing rod with a 2" aluminum cap
inscribed, "SURVEYOR SCHERBEL L TO AFTON WY PLS S368", with appropriate
details;
all in accordance with the plat prepared to be filed in the Office of the Clerk of
Lincoln County titled, "PALISADE PINES AMENDED WITHIN THE W%SEXNWX
SECTION 20 T37N R118W LINCOLN COUNTY, WYOMING", dated 7 November
200S, as revised.

5. Binding Effect. The terms and conditions of this Easement shall be binding upon
and inure to the benefit of the heirs, successors in interest and assigns of the parties named in this
instrument.
6. Waiver of Homestead Rights. Grantors hereby waive and release all rights to the
described easement under and by virtue of the homestead exemption laws of the State of
Wyoming to the extent that such rights may interfere with the purposes of this Easement.
