FINAL DECREE OF DISTRIBUTION FOR THE LIMITED ESTATE OF HOWELL ROBERTS SPEAR
THIS MATTER having come before this Court upon the Final Report and Petition For
Final Distribution of the Estate of Howell Roberts Spear as to the Wyoming Interests Only
("Final Distribution Petition") filed by Shane R. Spear, personal representative of the Estate of
Howell Roberts Spear, deceased, and it appearing to the Court rrom the records and files that
notice of Final Distribution of this estate was given in the manner and for the period required by
law; and it further appearing that said personal representative filed herein his Final Distribution
Petition on or about the 10th day of April, 2006; and that the beneficiaries having waived the
need for a hearing and waived the accounting requirement; and that no objections were filed to
said Petition, and the time for so doing has expired, the court being fully informed and advised,
FINDS that the requested Final Distribution Petition should be approved.
THEREFORE, IT IS HEREBY ORDERED, ADJUDGED AND DECREED:
1.
That all notices required by law have been timely and properly given in these
proceedings and that this Court has full, complete and requisite jurisdiction of this estate as to the
Wyoming interests only, the properties herein concerned, and has all jurisdictional prerequisites
for the entry of this Decree of Final Distribution.
II. That the Final Distribution Petition filed herein by the personal representative of
said estate, and all of the acts and dealings of said personal representative disclosed therein be
and the same are hereby expressly ratified, approved, settled and confirmed.
III. That the Disclaimer and Affirmation of Disclaimer executed by Mary Nan Spear
is valid under Wyo. Stat. § 2-1-401, et. seq. and hereby treated as a binding disclaimer under
Wyoming law for purposes of this limited probate. As such, any interest that would have been
inherited by Mary Nan Spear shall instead be distributed to the remaining beneficiaries under the
Last Will & Testament of Howell Roberts Spear.
IV. That the remaining beneficiaries of the Estate-~ear, Rex Spear and
Nelson Spear-each shall receive equal
one-third (1/3) shares of the oil and gas interests

identified in the attached Exhibit 1. The Personal Representative shall take all actions necessary
to see that said division of the Wyoming oil and gas interests are properly recorded and to
accomplish the intent of this division.
V. That from the records provided and statements made, it appears that all taxes due
and owing by the Estate for the Wyoming properties have been paid.
VI. That pursuant to Wyo. Stat. § 2-7-804, the Personal Representative shall pay to
Balzer Law Firm, P.C. attorneys fees for administration of this Estate in the amount of Six
Thousand Four Hundred Thirty Four Dollars and Forty Cents ($6,434.40) and costs in the
amount of Five Hundred Eight Dollars and Sixty Cents ($508.60). Any additional costs that will
be necessary for the filing of the various documents in each of the respective counties for the oil
and gas interests will also be paid by the Personal Representative directly.
VII. That pursuant to Wyo. Stat. § 2-7-803, the Personal Representative Shane Spear
has waived any fees for his efforts in administering this Estate.
