Ferguson ("Assignor"), whose address is 23072 Lake Center Drive, Suite 205, Lake Forest, California 92630, to Robert B. Ferguson, Trustee of the Robert B. Ferguson Trust, dated December 23, 2004, a trust formed under the laws of the State of California, whose address is 23072 Lake Center Drive, Suite 205, Lake Forest, California 92630, ("Assignee"). For good and valuable consideration, the receipt, adequacy and sufficiency of which is hereby acknowledged by Assignor, Assignor does hereby grant, bargain, transfer, convey, set over, assign and deliver unto Assignee, its successors and assigns the following properties, assets, rights, and obligations (the "Interests"): All of Assignor's right, title and interest in, to and under the oil, gas and mineral leases, lands, and units described as follows: ; U.S. Lease Serial No. W-0311095 (Portion) Lincoln County, Wyoming Township 21N, Range 112W, 6th P.M. Section 34: S 1I2NE1I4, SE1I4 Containing 240.00 acres, more or less and including any and all interests of Assignor therein, including, without limitation, overriding royalty interests, executory interests, reversionary interests, and other rights, including contractual rights to production, and contractual rights providing for the acquisition or earning of any such interests, owned by Assignor, in whole or in part, whether directly or indirectly, and any other interests of a similar nature (hereafter the "Leases"); All of Assignor's right, title and interest in and to all petroleum, hydrocarbons and gases produced from or attributable to the Leases after the Effective Time; All of Assignor's right, title and interest in and to all petroleum, hydrocarbons and gases produced from or attributable to the Leases which at the Effective Time have not been sold by Assignor and are in storage, within processing plants, or in pipelines; .and All of Assignor's interests, rights and obligations in and to all permits, contracts and agreements associated with the Leases. This Assignment is made without warranty of any kind, whether express or implied; however, Assignor gives and grants to Assignee, its successors and assigns, to the extent so transferable, full power and right of substitution and subrogation in and to all covenants and warranties by others heretofore given or made in respect to the Interests or any part thereof. 2. THIS ASSIGNMENT SHALL BE GOVERNED BY, AND CONSTRUED AND ENFORCED IN ACCORDANCE WITH THE INTERNAL LAWS, AND NOT THE LA WS PERTAINING TO CHOICE OR CONFLICT OF LAWS, OF THE STATE OF CALIFORNIA, EXCEPT AS TO MATTERS OF TITLE AND CONVEYANCING, WHICH SHALL BE GOVERNED BY THE LAWS OF THE STATE WHERE THE LEASE IS LOCATED. 3. Assignee hereby certifies that: Assignee is an association (i.e. a trust), the trustee and all of the beneficiaries of which are citizens of the United States; the trust is fully qualified to hold interests in federal oil and gas leases in confonnance with the requirements of 43 CFR § 3102.1; Assignee's chargeable interests, direct and indirect, in each public domain and acquired lands separately in the same State, do not exceed 246,080 acres in oil and gas leases (of which up to 200,000 acres may be in oil and gas options), or 300,000 acres in leases in each leasing District in Alaska of which up to 200,000 acres may be in options; all parties holding an interest in the assignment are otherwise in compliance with the regulations (43 CFR Group 3100 or 3200) and the' authorizing Acts; Assignee is in compliance with reclamation requirements for all Federal oil and gas lease holdings as required by sec. 17(g) of the Mineral Leasing Act; and Assignee is not in violation of sec. 41 of the Mineral Leasing Act. 4. Assignee's signature to this assignment constitutes acceptance of all applicable tenns, conditions, stipulations and restrictions pertaining to the lease described herein. 5. This Assignment may be executed in any number of counterparts, and each counterpart hereof shall be deemed to be an original instrument, but all such counterparts shall constitute but one assignment.
