The Pitts burg & Midway Coal Mining Co., a Missouri corporation, having an address of
116 Inverness Dr, E, Suite 207, Englewood, CO 80112, ("Grantor"), does hereby convey without
warrant to Questar Gas Company, a corporation ofthe State of Utah, ("Grantee"), its successors
and assigns, for the sum of ONE DOLLAR ($1.00) in hand paid and other good and valuable
consideration, receipt of which is hereby acknowledged, a right-of-way and easement (the
"Easement") 20 feet in width to lay, maintain, operate, repair, inspect, protect, remove and replace. .
pipelines, valves, valve boxes and other gas transmission and distnòution facilities (collectively the
"Facilities") through and across the following-descnòed land (the "Premises") situated in the County
of Lincoln , State of Wyoming, to-wit:
A strip ofland, 20 feet in width, all situated in Tract 54, Township 21 North, Range
116 West, sixth principal meridian, Lincoln County, Wyoming, the center line thereof
being more particularly descnòed as follows:
Commencing at the section corner common to Sections 22,23,26 and 27, Township
21 North, Range 116 West, six principal meridian, being a found brass cap and iron
pipe monument, thence North 00°27'42" East, 1,327.47 feet to the South sixteenth
corner common to said Sections 22, and 23, being a found aluminum cap and iron bar
monument, thence North 00°27'42" East, 1,327.23 feet to the quarter section corner
common to said Sections 22 and 23, being a found brass cap and iron pipe monument;
thence South 26°14'53" East, 682.95 feet to a point on the Southerly line of a Questar
Gas Companyparce~ station 0+47.32 on a 20 feet wide gas pipeline right-of-way to
serve Questar Gas Company and the point of beginning; thence South 00007'59"
West, 2,035,64 feet to a point located on the center line ofan existing Questar Gas
right-of-way.
TO HAVE AND TO HOLD the same unto Grantee, its successors and assigns, so long as such
facilities shall be maintained, with the right of ingress and egress to and fÌ"om the Premises to
maintain, operate, repair, inspect, protect, remove and replace the Facilities.
Grantor shall have the right to use the Premises, provided such use does not interfere with the
Facilities or any other rights granted to Grantee hereunder. Further, Grantor shall not build or
construct, nor permit to be built or constructed, any building or other improvement on the Premises,
nor change the contour thereof, without written consent of Grantee.

Grantee shall exonerate, save harmless, protect, defend and indemnifY Grantor, its lessees, its
successors and assigns ITom and against any and all losses, damages, claims, suits or actions,
penalties, assessments, judgments and costs which may arise or grow out of any injury to or death of
any person or persons, or damage or trespass to any property whether real or personal, or any other
suit, action or proceeding of whatsoever kind or nature whether civil, criminal or administrative,
caused, resulting ITom or in any manner connected with the construction, installation, inspection,
repair, replacement, removal, maintenance, operation, or existence of the Facilities, whether
conducted by Grantee or its contractors, licensees, agents, servants, employees, successors or assigns,
Grantee shall not be liable for any actions resultÎF!:g ITom the gross negligence or willful misconduct
of Grantor, its lessees, its successors and assigns,
The Easement shall be binding upon and inure to the benefit ofthe successors and assigns of
Grantor and the successors and assigns of Grantee, and may be assigned in whole or in part by
Grantee. It is hereby understood that any parties securing this grant on behalf 0 f Grantee are without
authority to make any representations, covenants or agreements not herein expressed,
