ASSIGNMENT OF OIL AND GAS LEASE
KNOW ALL MEN BY THESE PRESENTS:
That THE ESTATE OF LILLIE M. YATES, DECEASED, Post Office Box 840, Artesia, New
Mexico 88211, hereinafter called "Assignor", for and in consideration ofTen and more Dollars, paid by
SHARBRO OIL LTD. CO., Post Office Box 840, Artesia, New Mexico 88211, hereinafter called
"Assignee" (whether one or more), does hereby sell, assign and convey to the Assignee, all its right, title
and interest in and to that certain Oil and Gas Lease listed below dated March 1, 1979, insofar as said
lease covers the following described land, to wit:

It is the intent of this assignment to assign all right, title and interest of Assignor to Assignee,
including, but not limited to, the interest created under that certain Stipulation of Interest and Cross
Conveyance dated June 30, 1998 covering the S/2N/2 of Section 29, Township 25 North, Range 111
West, attached hereto as Exhibit "A".
Assignee assumes and agrees to perform all obligations to the Lessors insofar as said described
land is affected, and to pay such rentals and royalties, and to do such other acts as are by said lease
required as to said land, and to be subject to the terms and conditions of the governing operating
agreement to the same extent and in the same manner as if the provisions of said lease and operating
agreement were fully set out herein. It is agreed that Assignee shall succeed to all the rights, benefits and
privileges granted the Lessee by the tenns of said lease, as to said land.
This assignment is made without warranty of title, either expressed or implied.

STIPULATION OF INTEREST AND CROSS-CONVEYANCE
This Stipulation of Interest and Cross-Conveyance is made and entered into this 30th day of June,
1998, by and between the undersigned parties in order to clarify the record of title as it currently exists in
the Bureau of Land Management case file in Cheyenne, Wyoming, and the ex officio records of the
Registrar of Deeds in Lincoln County, Wyoming, as they relate to the ownership of Federal Lease
W-105639 covering the N/2N/2 of Section 29, T25N-R111W, Lincoln County, Wyoming, and Federal Lease
W-66828 segregated to W-130997 covering the S/2N/2 of Section 29, T25N-R111 W, Lincoln County,
Wyoming, (hereafter sometimes referred to collectively as the "Leases"), SAVE AND EXCEPT: (1) the
Anderson Canyon Federal NO.1 0-29 Well (a.k.a. Anderson Canyon NO.1 0-29) located in the SE/4 NW/4
of said Section 29, T25N-R111 W, Lincoln County, Wyoming; and (2) the Anderson Canyon No. 20-29 Well
(sometimes referred to as the N. Anderson Canyon No. 20-29 Well) located in the NW/4NE/4 of said
Section 29, T25N-R111W, Lincoln County, Wyoming.
Whereas, Terra Resources, Inc. (predecessor in title to Hunt Oil Company), as Operator, drilled
and completed the Anderson Canyon No. 20-29 Well located in the NW/4N'E/4 of said Section 29,
T25N-R111W, Lincoln County, Wyoming, in December of 1987 as a producing well from the Frontier
Formation;
Whereas, the Wyoming Oil and Gas Conservation Commission established 320-acre drilling and
spacing units for the Frontier Formation in this area which included the N/2 of said Section 29,
T25N-R111W, Lincoln County, Wyoming;
Whereas, the S/2N/2 of Section 29, T25N-R111W, Lincoln County, Wyoming, (Federal Lease
No. W-66828) and the N/2N/2 of Section 29, T25N-R111W, Lincoln County, Wyoming, (Federal Lease

No. W-105639) were the subject of a Communitization Agreement dated effective December 29, 1987
which communitized or pooled all natural gas and associated liquid hydrocarbons in the Frontier Formation
underlying said lands;
Whereas, the undersigned parties either currently own or previously owned an economic interest
in Federal Oil and Gas Lease No. W-66828 segregated to W-130997 insofar as it covers the S/2N/2 of
Section 29, T25N-R111 W, Lincoln County, Wyoming;
Whereas, the parties drilling the Anderson Canyon No. 20-29 Well earned various interests from
the various owners of the operating rights under Federal Lease W-66828 segregated to W-130997
pursuant to the terms and conditions of several farmout agreements and other contractual arrangements,
which, in most instances, provided for reversionary and/or conversion rights after payout of the said well;
Whereas, prior to the payout of the Anderson Canyon No. 20-29 Well, Hunt Oil Company
(successor in interest to Terra Resources, Inc.), as Operator, proposed and drilled a second well in the N/2
of said Section 29, T25N-R111W, Lincoln County, Wyoming, (located in the SE/4NW/4) called the
Anderson Canyon Federal NO.1 0-29 Well in November of 1995; and the parties who own interests in the
Leases and the parties participating in the drilling of the Anderson Canyon Federal No. 10-29 Well have
previously stipulated as to their respective interests in the Anderson Canyon NO.1 0-29 Well;
Whereas, the Anderson Canyon No. 20-29 has not paid out and Hunt Oil Company (successor in
interest to Terra Resources, Inc.), as Operator, proposes an additional well or wells in the N/2 of said
Section 29, T25N-R111W, Lincoln County, Wyoming;
Whereas, several assignments and government form transfers of operating rights and overriding
royalties between the parties hereto have been filed with the Bureau of Land Management in Cheyenne,
Wyoming, and/or recorded with the County Clerk's Office in Lincoln County, Wyoming, which either do not

accurately reflect the above described intent of the parties, are ambiguous or contain errors in depth
limitation or deficient executions;
Whereas, it is apparent that the easiest way to clarify title to the Leases, insofar as they cover the
N/2 of Section 29, T25N-R111W, Lincoln County, Wyoming, from the surface of the earth down to the
stratigraphic equivalent of 9,392 feet as found in the Anderson Canyon No. 20-29 Well, SAVE AND
EXCEPT: (1) the Anderson Canyon Federal NO.1 0-29 Well located in the SE/4 NW/4 of said Section 29,
T25N-R 111 W, Lincoln County, Wyoming; and (2) the Anderson Canyon No. 20-29 Well located in the
NW/4NE/4 of said Section 29, T25N-R111W, Lincoln County, Wyoming, is to set forth the interests of the
parties herein rather than attempt to correct, reexecute and re-file (and re-record) numerous instruments
already in the chain of title';
Whereas, the parties hereto wish to set forth, stipulate and/or cross-convey their respective
interests in the Leases (insofar as they cover the N/2 of Section 29, T25N-R111W, Lincoln County,
Wyoming, from the surface of the earth down to the stratigraphic equivalent of 9,392 feet as found in the
Anderson Canyon No. 20-29 Well), SAVE AND EXCEPT: (1) the Anderson Canyon Federal No. 10-29
Well located in the SE/4 NW/4 of said Section 29, T25N-R111W, Lincoln County, Wyoming; and (2) the
Anderson Canyon No. 20-29 Well located in the NW/4NE/4 of said Section 29, T25N-R111W, Lincoln
County, Wyoming;
NOW THEREFORE, the undersigned parties enter into this Stipulation of Interest and Cross-
Conveyance and hereby stipulate that their respective interests in the Leases (insofar as they cover the
N/2 of Section 29, T25N-R111W, Lincoln County, Wyoming, from the surface of the earth down to the
stratigraphic equivalent of 9,392 feet as found in the Anderson Canyon No. 20-29 Well) SAVE AND
EXCEPT: (1) the Anderson Canyon Federal NO.1 0-29 Well, and (2) the Anderson Canyon No. 20-29 Well,

No. 20-29 Well. If a signatory of this document is not recited as an owner in the Exhibits attached hereto,
said signatory is agreed and shall be considered to have previously conveyed all of his or its right, title and
interest in this property.
It is specifically understood and agreed between the parties hereto that this Stipulation of Interest
and Cross-Conveyance affects only the N/2 of Section 29, T25N-R111W, Lincoln County, Wyoming, SAVE
& EXCEPT (1) the Anderson Canyon Federal No. 10-29 Well and the (2) Anderson Canyon No. 20-29
Well, and is limited in depth from the surface of the earth down to the stratigraphic equivalent of 9,392 feet
as found in the Anderson Canyon No. 20-29 Well located in the NW/4NE/4 of said Section 29,
T25N-R111W, Lincoln County, Wyoming.
It is specifically understood that this Stipulation of Interest and Cross -Conveyance does not affect
the ownership of the Anderson Canyon No. 20-29 Well either before or after payout of said well or of the
Anderson Canyon NO.1 0-29 Well, which has been previously stipulated.
It is understood and agreed that, to the extent the current Bureau of Land Management records in
Cheyenne, Wyoming, or the county records in Lincoln County, Wyoming, are contrary to the ownership as
set forth herein, this Stipulation of Interest and Cross-Conveyance shall correct, amend, replace,
supersede or establish documents of title to extent necessary to vest ownership of title as set forth herein.
This instrument may be signed in counterparts, each of which is deemed an original and binding
upon the party so executing the same.
