ASSIGNMENT OF OIL AND GAS LEASE
STATE OF WYOMING
COUNTY OF LINCOLN
Chevron U.S.A. Inc. (hereinafter "Assignor"), a Pennsylvania corporation, with
an address at P.O, Box 36366, Houston, Texas 77236, for valuable consideration
received, does by these presents bargain, sell, transfer, and assign to Fairways Offshore
Exploration, Inc. (hereinafter "Assignee"), with an address at 13430 Northwest Freeway,
Suite 800, Houston, Texas 77040, an undivided sixty percent (60%) of Assignor's right,
title, and interest in that certain Oil, Gas and Mineral Lease dated March 8, 1974 by and
between Ethel K. Julian, as Lessor, and Gulf Oil Corp" as Lessee, recorded at Book 111
PR, Page 570 of the Records of Lincoln County, Wyoming, as amended ("the Lease"), to
the extent and only to the extent the Lease covers Lot 8 of Section 7-TI9N-RI19W,
Lincoln County, Wyoming and further limited to depths from the surface to the
stratigraphic equivalent of the base of the Mission Canyon fonnation ("the Depths") as
found in the Federal I-17M well located 1850 feet from the North line and 500 fee~ from
the West line of Section 17, T19N, Rl19W, 6th P.M., Lincoln County, Wyoming. .
This Assignment is made in accordance with and subject to the tenns, conditions, and
provisions of that certain "Joint Development Agreement Tear Prospect" between
Assignor and Assignee dated April 25, 2002, including without limitation Assignor's
reservation of a 17.5% proportionately reduced overriding royalty interest on production
processed at the Carter Creek Gas Processing Plant.
This Assignment shall be effective as of July 15, 2005.
