A nonexclusive EASEMENT AND RIGHT OF WAY for the purposes of
laying, constructing, maintaining, operating, repairing,
altering, inspecting, relocating, replacing, removing and
changing the size of a pipeline or pipelines with the necessary
valves, regulators, meters,fittings and other appurtenances
that may be necessary or useful to transport water, oil, gas,
associated hydrocarbons or any other liquids, fluids or '
substances; for erecting, operating, repairing, maintaining,
replacing and removing electric power and telephone lines and
such other useful or necessary structures, installations and
facilities; and, for constructing, operating, repairing and
maintaining a road including the right to remove material
excavated from cuts for llse as fill and the right to transport
equipment, products and personnel
through, under and across lands, located In the COUNTIE5 OF UINTA
AND LINCOLN, STATE OF "WYOMING and more particularly described in Exhibit "A"
attached hereto and by this reference made a part hereof, together with rights
of ingress and egress necessary or convenient for the full enjoyment of the
rights hereby granted or incident thereto, including the right to select and
change the location of the EASEMENT AND EìGHT OF WAY at any time prior to or
during the installation of the initial pipeline by the Grantee.
This MEMORANDUM OF AGREEMENT shallremaiTI ~n full force and effect
for a term of five (3) years and so longtbereafter as such lands or any
portion thereof are used for or ~n connection with the purposes of the
Grantee. Upon termination, either in whole or in part, Grantee shall file for
AGREEMENT .
record a document describing the lands being released from this MEMORANDUM OF
In the event Grantee elects to change the location of the EABEMENT
AND RIGHT OF WAY, Grantee shall file for record a document describing the
changed location and stating therein that the description of the changed
location supersedes the description set forth in said Exhibit "Al,.
