Recitals:
1. Reference is hereby made to that certain Deed of Trust, Mortgage, Line of Credit
Mortgage, Assignment, Security Agreementt Fixture Filing and Financing Statement from Key
Production CompanYt Inc·t a Delaware corporation (dba Key Energy of Coloradot Inc. in the
State of Texas) ("MortgagorU) to Marcia Bateman, Trustee (Non-Utah)t First American Title
Company ofUtaht Trustee (Utah), and Bank: of America, N.A.t as Agent ("Original Agenf'),
dated November 12, 1999, as supplemented and amended by a First Supplement and
Amendment to Deed of Trust, Mortgage, Line of Credit Mortgage, Assignment, Security
Agreement, Fixture Filing and Financing Statement from Mortgagor to said trustees and Original
Agent dated August 23, 2001 (the "Bank of America Mortgage").
2. The Bank: of America Mortgage was assigned to Bank: Onet NA, as successor
Agent ("Successor Agenf'), pursuant to an Assignment of Liens and Second Amendment to
Deed of Trust, Mortgage, Line of Credit Mortgaget Assignment, Security Agreement, Fixture
Filing and Financing Statement among Mortgagort Original Agent and Successor Agent dated
October 2t 2002; and supplemented pursuant to a Third Supplement to Deed of Trust, Mortgage,
Line of Credit Mortgaget Assignment, Security Agreement, Fixture Filing and Financing
Statement dated as of January It 2003; a Fourth Supplement to Deed of Trust, Mortgage, Line of
Credit Mortgage, Assignment, Security Agreement, Fixture Filing and Financing Statement
dated as of September 1, 2003; a Fifth Supplement to Deed of Trust, Mortgage, Line of Credit
Mortgage, Assignment, Security Agreementt Fixture Filing and Financing Statement dated as of
May 18,2004; and a Sixth Amendment to Deed of Trust, Mortgage, Line of Credit Mortgage,
Assignment, Security Agreement, Fixture Filing and Financing Statement dated October 1, 2004
(the Bank: of America Mortgage, as so assigned, amended and supplemented, is herein referred to
as the "Mortgage"); counteIparts of such Mortgage are recorded as set forth on Schedule A
attached hereto and made a part hereof. Capitalized terms used but not defined herein shall have
the meanings given them in the Mortgage.

3. Successor Agent merged with and into JPMorgan Chase Bank, National
Association, and JPMorgan Chase Bank: National Association was the surviving entity (herein
referred to as "Agent").
4. Agent is a current beneficiary of the liens and security interests created by the
Mortgage and is the agent for all other current beneficiaries of the liens and security interests
created by the Mortgage.
Release:
NOW, THEREFORE, for and in consideration of the premises and other good and
valuable consideration, the undersigned has RELEASED and DISCHARGED, and by these
presents does hereby RELEASE and DISCHARGE the "Mortgaged Properties" and the
"Collateral" (as such terms are defined in the Mortgage), and proceeds of such Collateral ffom
the liens and security interests created by the Mortgage. The undersigned hereby tenninates the
assignment of ''Production'' and " Production Proceeds" made in favor of the undersigned under
Article III of the Mortgage.
Further, the undersigned, having received from holder of the obligations under the
Mortgage a written request to reconvey, in accordance with the terms of said Mortgage, all estate
now held by the undersigned under said Mortgage in and to the Mortgaged Properties, now
therefore, in accordance with said request and the provisions of said Mortgage, the undersigned
does hereby reconvey, without warranty, to Mortgagor the Mortgaged Properties.
The Mortgage is hereby terminated; provided that it is expressly understood that certain
indemnification obligations and other obligations of Mortgagor are, as provided in the Mortgage,
to survive any release of the Mortgage, and that such obligations ~e not released or otherwise
affected hereby. Mortgagor is hereby authorized to terminate all Uniform Commercial Code
financing statements filed in connection with the Mortgage.
This Release may be executed in several counterparts, all of which are identical, except
that, to facilitate recordation, certain counterparts hereof may include (as Annex 1) portions of
Exhibit A to the Mortgage which contain descriptions of properties located in (or otherwise
subject to the requirements and/or protections of the recording or filing acts or regulations of) the
recording jurisdiction in which the particular counterpart is to be recorded. All of such
counterparts together shall constitute one and the same instrument. Complete copies of this
instrument, containing the entire Annex I, have been retained by Mortgagor and Agent.
