EASEMENT AGREEMENT
Taylor Land & Cattle, Inc., a Wyoming Corporation, hereinafter referred to as
"Grantor," for and in consideration of Ten Dollars ($10.00) and other valuable
consideration, in hand paid, receipt of which is hereby acknowledged, GRANT AND
CONVEY to Vance Welch and Amanda Welch, husband and wife as tenants by the
entireties, of P.O. Box 934, Afton, Wyoming 83110; hereinafter referred to as "Grantees",
the following described perpetual right of way easement for the following purposes:
1. Purpose of Easement:
This easement is for the purpose of providing a perpetual nonexclusive Sixty
(60) foot wide right of way easement for ingress and egress and.all utilities
to the property owned by the Grantee described in paragraph (3) hereof,
including the right to construct and maintain a roadway to provide that
ingress and egress and for all utilities. This easement is not for the purpose
of providing or creating a public right of way or access to any other lands.
2.
Conditions of Easement:
The conditions of this easement are as follows;
(a) It is a nonexclusive easement and the Grantor reserves the right to grant
additional easements to other parties and the parties acknowledge that this
easement is presently being used to access other properties.
(b) The Grantee will be allowed to construct and maintain a road upon the
easement that benefits Grantees property and the improvements to said
roadway for the benefit of Grantees property shall be paid for by Grantee,
provided, however, that prior to the construction of any roadway or
improvements thereto the Grantee will obtain the Grantors approval as to the
type and extent of any such improvements. The parties acknowledge that
this easement is used by other parties and the improvements that benefit all
parties, the cost thereof, shall be paid based upon a reasonable fair share
of said improvements as would benefit all parties.
(c) Grantee may only use the described easement for access and utilities to
the lands described in paragraph 3 hereof in the size and shape those lands

are currently owned. The described easement may not be used by any
Grantee for access or utilities as part of a future division, subdivision, plot
division, creation of multiple residence or ownership by virtue of common
ownership through an association, corporation, trust, partnership, limited
liability company or any other entity or any other development of the lands
benefitted by the easement without the prior written consent of the Grantor,
provided, however, Grantee shall be authorized to construct a single family
residence on the property described in paragraph 3 and associated out
buildings pertaining thereto,
3. Property Benefitted by Easement:

This easement is for the benefit of the following described real property of
the Grantees located in Lincoln County, Wyoming:
Lot 1, Mount Baldy Estates as said lot is laid out and described on the
official Plat of said subdivision on file in the office of the Lincoln County
Clerk.
4. Description of Easement:
The easement is described as follows:
A Sixty (60) foot wide, nonexclusive, perpetual right-of-way easement for
ingress and egress and all underground utilities from U.S. Highway 89
described generally as a parcel of property Sixty (60) foot wide running
parallel to the northerly boundary of Lot 1 of the Mount Baldy Estates in an
easterly direction to the east boundary of said Lot 1 as more fully depicted
on Exhibit A, a copy of which is attached hereto marked Exhibit A and by
this reference made a part hereof for the area designated as "Welch
Easement. "
5. Binding Effect:
The terms and conditions of this easement shall be binding upon and inure to the
benefit of the heirs, successors and interest and assigns of the parties named in this
instrument.

Waiver of Homestead Rights:

The Grantor hereby waives and releases all rights to the described easement under
and by virtue of the Homestead Exemption Laws of the State of Wyoming to the
extent that any such rights may interfere with the purposes of this easement.
