GRANT OF EASEMENT FOR UTILITIES
THIS GRANT OF EASEMENT FOR UTILITIES, made and entered into this
10fh day of October, 2006, by and between OX YOKE B LLC, a Wyoming Close
Limited Liability Company herein referred to as "Grantor(s)"; and WYOMING 100,
LLC, a Nevada limited liability company, herein referred to as the "Grantee"..
WIT N E SSE T H:
WHEREAS Grantor is the owner of the property described on the attached
Exhibit "A".
FOR A VALUABLE CONSIDERATION, receipt whereof is hereby
acknowledged, the Grantors grant and convey unto the Grantee the following rights in
real property situated in Lincoln County, Wyoming, to wit:
The privilege and easement in perpetuity for a right-of-way
to construct, lay, maintain, repair, inspect, improve, and
operate all utilities, including water, sewer, gas, power,
phone, and cable, upon, across, and under the property of
the Grantors. The legal description for the location of the
easement shall be as shown on the attached Exhibit "B"
(the "Easement Area").
The further tenns and conditions of this grant are as follows:
(a) That the Grantee may (but is not required to) trim,
cut, remove and keep clear all trees, limbs,
undergrowth, and any and all other obstructions,
within the easement area that may in any manner in
Grantee's judgment endanger or interfere with the
proper and efficient operations of the works and
systems therein or thereon and the Grantee shall
have all such other rights and privileges as are
reasonably necessary or convenient for the full
enjoyment and use of the easement herein granted
for the aforesaid purposes.

(b) That Grantee will exercise reasonable care to
protect Grantor's property from damage or injury
occasioned in the enjoyment of the easement and
rights herein granted, and shall promptly repair the
said property or reimburse the Grantors for any
property damaged thereby.
(c) Grantor shall have the right, at its own expense, and
subject to all necessary governmental or agency
approvals and requirements, to access the utilities
located in the Easement Area.
(d) This Grant of Easement shall run with the land,
shall enure to the benefit of the Grantee, and all
successive owners of any of the Property(ies)
described on Exhibit "C', and shall be binding upon
Grantor, and all successive owners of the property
described on Exhibit "A". Further, this Grant of
Easement shall enure to the benefit of all
governmental agencies and other utilities service
providers.
Grantors further covenant that they have the right to convey the said easement,
that the Grantee shall have quiet and peaceful enjoyment and possession of said
easement, and that the Grantors will execute such further assurances of the said grant of
easement herein contained as may be requisite.
