THIS MODIFICATION and EXTENSION OF PROMISSORY NOTE AND
MORTGAGE, dated the 8th day of November, 2006, is executed by and
between Borrower and Lender identified above.
A. On August 8, 2005, Lender made a loan ("Loan #114552") to
Borrower evidenced by Borrower's promissory note ("Note") payable
to Lender in the original principal amount of $329,000.00, which
Note was secured by a Mortgage executed by mortgagor for the
benefit of Lender covering the real property described on Schedule
A below and recorded as Document No. 910786 Filing date August 10,
2005 in Book 593 at page 858 in Lincoln County, WYand all
ËXtënsion and Modifications ~record. The Note and Mortgage and
any other related documents are hereafter cumulatively referred to
as the "Loan Documents."
B. The parties have agreed to extend the Note and it is
necessary to provide for a similar extension of Mortgage. The
f parties agree as follows:

1. The maturity date of the Note will remain August 8, 2007
at which time all outstanding sums due to the Lender under
the Note shall be paid in full.

2. The parties acknowledge and agree that the loan amount
will be increased to $328,936.09.
3. The parties acknowledge and agree that a first REM on real
property located at Lot 18 Shadow Dancer Estates, Lincoln
County, Wyoming will be added as collateral on this
obligation.
4. The parties acknowledge and agree that a first REM on real
property located at Lots 66 and 68, River View Meadows
Second Addition to the Town of Alpine, Lincoln County,
Wyoming will remain as collateral on this obligation.
5. The parties acknowledge and agree to release Lot 69, River
View Meadows Second Addition to the Town of Alpine,
Lincoln County, Wyoming as collateral on this obligation.
6. The parties acknowledge and agree that, as of November 8,
2006, the unpaid principal balance due under the Note was
$180,100.00 and the accrued and unpaid interest on that
date was $0.00, The next interest payment will be due
December 8, 2006.
7. Borrower agrees to pay a recording fee of $25.00, a loan
fee of $725.00 and an appraisal fee of $350.00 for a total
of $1,100.00 due at the time of this modification.
8. Mortgagor represents and warrants that Mortgagor owns the
property free and clear of any liens or encumbrances other
than the liens described on Schedule B Below.

9. Except as expressly modified herein, all ter.ms and
condi tions of the Loan Documents shall remain in full
force and effect. The parties hereby adopt, ratify and
confirm these terms and conditions as modified.

10. Mortgagor agrees to execute any additional documents
which may be required by Lender to carry out the intention
of this Agreement. As of the date of this Agreement, there
are no claims, defenses, setoffs or counterclaims of any
nature which may be asserted against Lender by any of the
undersigned,
