2nd AMENDMENT

THIS AMENDMENT OF THE DECLARATION OF COVENANTS,
CONDITIONS AND RESTRICfIONS FOR CEDAR SPRINGS MEADOWS

CONDOMINIUMS is made as of November !.!:-., 2006, by LDL PROPERTIES, LLC a
Wyoming limited liability company ("Declarant/Developer"), amending the
DECLARATION OF COVENANTS, CONDITIONS AND RESTRICfIONS FOR
CEDAR SPRINGS MEADOWS CONDOMINIUMS dated October 20,2005, as filed in
the Office of the Lincoln County Clerk in Book 613 PR 696, on March 6, 2006 and
amended on August 18,2006, as filed in the Office of the Lincoln County Clerk in Book
630 PR 881, on August 21,2006.
The following Amendments to the above Declaration of Covenants and
Restrictions are hereby made:
"Exhibit A" attached to the Declaration of Covenants and Restrictions for Cedar
Springs Meadows Condominiums, as filed in Book 613 PR 696, on March 6, 2006, is
hereby amended to describe the property owned by the Declarant/Developer as follows:
A portion of land located in the Southeast comer of a parcel of land as
referred to in the deed recorded in Book 419PR, on page 744 and Book
4l9PR, on page 746 with the office of the Clerk of Lincoln County,
Wyoming within the Northwest Comer of the Southeast Quarter of
Section 1, Township 34 North, Range 119 West, of the 6th P.M., Lincoln
County, Wyoming the metes and bounds being more particularly
described as follows:

Beginning at the BLM type monument marking the Marlowe A. Scherbel
PLS 5368 1994 location for the southwest corner of the northeast quarter
of said Section 1, thence south 88°52'23" east along the south line of said
northeast quarter 1320.08 feet to a BLM type monument marking the
Lloyd B. Baker PE/LS 698 2004 location for the northwest corner of the
east half of the southeast quarter of said section 1; thence south 00°33'17"
west along the west line of said east half of the southeast quarter 734.77
feet to the south right-of-way (RIW) line of Cedar Springs Drive; thence
along said RIW line north 88°38'38" west 4.50 feet; thence leaving said
RIW line south 52°49'47" west 357.87 feet; thence north 37°10'13" west
224.50 feet; thence south 52°449'47" west 135.65 feet; thence north
88°52'32" west 160.15 feet to an aluminum cap on iron pipe marking the
northeast corner of the Woolley property as referred to in the deed
recorded in Book 440PR, on Page 209, with said office; thence north
88°52'33" west, parallel to the north line of said southwest quarter to the
southeast quarter, along the north line of said Woolley property 750.00
feet to an aluminum cap on iron pipe marking a point in the east line of
southwest quarter of the southeast quarter; thence north 00°33'07" east
along said line 1021.43 feet to the point of beginning.
Containing 29.65 acres more or less.
Together with an easement for ingress and egress across the above
described property as follows:
Commencing at an aluminum cap on iron pipe marking the Lloyd B.
Baker PE/LS 698 2004 location for the northeast corner of the southwest
quarter of the southeast quarter of Section 1, Township 34 North, Range
119 West, of the 6th P.M., Lincoln County, Wyoming; thence north
00°33'17" east along the west line of the east half of the southeast quarter
of said Section I 588.59 feet to the south right-of-way (RIW) line of Cedar
Springs Drive; thence along said RIW line north 88°38'38" west 4.50 feet
to the true point of beginning; thence leaving said RIW line south
52°49'47" west 357.87 feet; thence north 37°10'13" west 24.50 feet; thence
north 52°49'47" east 285.89 feet; thence north 00°33'17" east to the south
RIW line of Cedar Springs Drive 31.47 feet; thence along said RIW line
the following 2 courses:
1) South 82°39'41" east 36.94 feet to a tangent curve having a radius
of 360.00 feet;
2) Thence along said curve to the left 35.34 feet, (chord bears south
85<>28'24" feet) to the point of beginning.

Together with that right-of-way easement recorded in Book 374PR, on
Page 1163, with said office.
Together with and subject to all easements, exceptions, reservations,
restrictions, rights-of-way and improvements of sight and or record.
All references to "Exhibit A" contained within the Declaration of Covenants,
Conditions and Restrictions for Cedar Springs Meadows Condominiums shall hereby
apply to the property described in the above-amended description.
IN WITNESS WHEREOF, Declarant/Developer has caused this Amendment to
the Declaration of Covenants, Conditions and Restrictions for Cedar Springs Meadows
Condominiums, dated October 20, 2005, as filed in the Office of the Lincoln County
Clerk in Book 613 PR 696, on March 6, 2006 and amended on August 18,2006, as filed
in the Office of the Lincoln County Clerk in Book 630 PR 881, on August 21,2006.
