WITH POSSIBILITY OF REVERTER

THE CITY OF KEMMERER, a Wyoming Municipality, of220 Highway 233, Kemmerer,
in Lincoln County, Wyoming 83101, Grantor, for and in consideration often dollars ($10.00) and
other valuable consideration in hand paid, receipt whereof is hereby acknowledged, CONVEY
AND WARRANT to THE BANK OF STAR VALLEY, a Wyoming Corporation, of 384
Washington Street, P,O. Box 8007, Afton, Wyoming 83110, the following described real estate,
situate in Lincoln County, State of Wyoming, hereby releasing and waiving all rights under and by
virtue of the Homestead Exemption Laws of the State, to-wit:
Lots Numbered Seven (7), Eight (8), Nine (9) and Ten (10) of the Block Numbered
Eight (8) as shown on the Original Plat ofthe Original Town of Kemmerer, Lincoln Ž "

Beginning at the northeasterly comer of Lot 11, Block 8; thence S26°34'E along the
easterly line of said Lot 11,2,50 feet; thence S63°26'W, parallel to the Northerly line
of Lot 11, 140.00 feet to the Westerly line of said Lot 11; thence N26°34'W along
said Westerly line 2,50 feet to the Northwesterly comer of said Lot 11; thence
N63°26'E along the Northerly line of said Lot 11, 140.00 feet to the point of
beginning.
EXCEPTING, EXCLUDING, AND RESERVING any right, title or interest in any
minerals, mineral rights, or related matters, including but not limited to oil, gas, coal,
coal bed methane and all other hydrocarbons,
SUBJECT, HOWEVER, to all reservations, restrictions, exceptions, easements and
rights-of way of record or in sight or use including but not limited to any rights-of-
way for ditches or canals constructed by authority of the United States; any and all
rights-of-ways or easements to layout, construct, inspect, operate, repair, modify,
replace, upgrade and maintain roads for the use ofthe public; any and all easements
for electric power lines for the transmission and distribution of electric power,
telephone, and gas; and any and all rights-of-way or easements.
FURTHER EXCEPTING, SPECIFICALL YRESERVING AND SUBJECT TO the
condition reserved unto the Grantor of the possibility of reverter whereby Grantor
may exercise said right of reversion and require Grantee to resell said real property
described above to Grantor by giving Grantee notice within two (2) years and ninety
(90) days ofthe date of the execution ofthis Special Warranty Deed pursuant to the
agreement entered into between the parties if construction of the bank and financial
institution on said property is not progressing at a reasonable rate or if Grantee has
failed to obtain a certificate of occupancy ofthe newly completed bank and financial
institution on said property and operations therein having begun. Said possibility of
reverter shall expire upon the Grantee obtaining a certificate of occupancy of the
newly completed bank and financial institution located on said property andbanking

operations have begun therein or if Grantor fails to give notice and file an affidavit
of giving said notice prior to midnight two (2) years and ninety (90) days after this
deed was executed without further notice provided Grantor has not previously
thereto exercised its right to the reversion and provided notice to Grantee,
