Home My WebLink About926010 000085 ASSIGNMENT OF INTEREST IN OIL AND GAS LEASE THIS ASSIGNMENT OF INTEREST IN OIL AND GAS LEASE (the "Assignment"), dated effective 12:01 a.m. June 1, 2005 (the "Effective Time"), is from Kerr-McGee Oil & Gas Onshore LP, a wholly owned subsidiary of Anadarko Petroleum Corporation, formerly know as successor in interest to Westport Oil and Gas Company, L.P., whose mailing address is 1999 Broadway, Suite 3700, Denver, Colorado, 80202 ("Assignor") to EOG Resources, Inc., a Delaware corporation, whose mailing address is 600 17th Street, Suite 11 OON, Denver, Colorado, 80202, ("Assignee"), For good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, Assignor hereby sells, assigns, transfers, grants, bargains, and conveys to Assignee the real and personal property interests described below, located in Lincoln County, Wyoming (the Assigned Interests"): 1. Twenty-five percent (25%) of Assignor's right, title and interest in and to the Slate Creek #1-11 well ("Test Well"), the material and equipment appurtenant thereto and Assignor's proportionate share of production therefrom, Said interest being the after payout interest Assignee elected to accept on November 11,2005, by that certain election letter dated October 12, 2005, from Westport Oil and Gas Company, L.P, and further defined in that Farmout Agreement dated July 24, 2003, by and between EOG Resources, Inc. and Westport Oil and Gas Company, L.P. (the "Agreement"). 2, Concurrent rights of ingress and egress to the Test Well, and in and to the surface rights held by Assignor in connection with ownership of the Test Well. ----) Jj ",) 3. Rights to all contracts, agreements and instruments to the extent only that they relate to or affect the Assigned Interests. TO HAVE AND TO HOLD the Assigned Interests unto Assignee and its successors and assigns forever. This Assignment is made and accepted expressly subject to the following terms and conditions: A, THIS ASSIGNMENT IS MADE WITHOUT WARRANTY OF ANY KIND, EXPRESS, IMPLIED OR STATUTORY EXCEPT THAT ASSIGNOR WARRANTS THAT TITLE TO THIS ASSIGNED INTEREST IS FREE AND CLEAR OF ANY ENCUMBRANCES CREATED BY, THROUGH OR UNDER ASSIGNOR WITH THE EXCEPTION OF ROYALTY, OVERRIDING ROYALTY AND OTHER BURDENS OF RECORD AS OF THE EFFECTIVE TIME. Assignee agrees to perfonn all obligations, express or implied, of Assignor under the leases insofar as such obligations are applicable to Assigned Interests. C. The references herein to liens, encumbrances, burdens, defects and other matters shall not be deemed to ratify or create any rights in third parties or merge with, modify or limit the rights of Assignor or Assignee as between themselves, as set forth in the Agreement. D. Separate governmental fonns of assignment of the Assigned Interests have already been executed on officially approved fonns by Assignee to Assignor. Said transfer dated November 20,2003, approved by Bureau of Land Management on February 1, 2004. This above mentioned assignment shall be deemed to contain all of the exceptions, reservations, warranties, rights, titles, power and privileges set forth therein as fully as though they were set forth in such assignment. The interest conveyed in this Assignment are the same, and not in addition to, the Assigned Interests conveyed herein. E, This Assignment binds and inures to the benefit or Assignor and Assignee and their respective successors and assigns, F. This Assignment may be executed in counterparts, each of which shall be deemed to be an original instrument, but all of which together shall constitute but one instrument.
