Agreement made this22,,)day of January, 2007, between LARSON HEREFORD RANCH,
a limited partnership and Arnold A. Larson, trustee of the CATHERINE N. LARSON
TRUST, all of 498 Larson Lane, P.O. Box 44, Opal, WY 83124, hereinafter referred to as
Grantor, and OVERLAND PASS PIPELINE COMPANY, LLC, A Delaware Limited Liability
Company, registered to do business in Wyoming, doing business at P.O. box 871, Tulsa,
Oklahoma 74102, hereinafter referred to as Grantee.
SECTION ONE
RIGHT OF WAY

In consideration of the sum of TEN DOLLARS AND OTHER GOOD AND VALUABLE
CONSIDERATION, the receipt and sufficiency of which is hereby acknowledged, Grantor
hereby grants, sells, and conveys to Grantee, its successors and assigns, a non-exclusive
right of way for the purposes of laying, constructing, operating, inspecting, maintaining, and
repairing a pipeline fourteen (14) inches in diameter for the transportation of oil, gas,
petroleum products, and gases, or mixtures of any of the foregoing, at a location and on a
route to be selected by Grantee, on, in, over, and through the said land on a right of way
not to exceed 50 feet in width with said 50 feet in width being 25 feet on the East side and
25 feet on the West side of the centerline of the pipeline constructed on the following-
described land, all of which is agricultural and range land located in Lincoln County, State
of Wyoming as generally described below:

SECTION TWO
TERM OF CONSTRUCTION
Subject to provisions for entry and construction elsewhere below, Grantee shall not enter
the premises for construction on the pipeline within the right of way before November 1,
2006 and shall be completed with the initial construction and restoration of the pipeline
right of way and temporary work space by November 30, 2009, except for a required "as
built" survey that shall be completed within one (1) year of the pipe being laid. Before any
construction on said pipeline shall commence, Grantee shall cause the Overland Pass
Pipeline Company, LLC land agent to meet with Grantor.
SECTION THREE
TERM OF RES TORA TION
That Grantee shall begin restoration on the right of way and the area of ingress and egress
as soon as practicable upon completion of construction depending on the weather.
Restoratiot as detailed elsewhere herein except weed control shall be completed by Nov-
30, of the ear following construction, but in any event no later than November 30, 2009.
Before an restoration on said pipeline right of way shall commence, Grantee shall cause
the Overland Pass Pipeline Company, LLC Land Agent to meet with Grantor, provided,
however, that prior to termination of the construction phase, Grantee agrees that, the
trench or ditch line shall be compacted by water soaking. Said water shall be provided by
Grantee unless otherwise agreed.
SECTION FOUR
WORKING SPACE DURING CONSTRUCTION & RES TORA TION
During construction, cleanup, and restoration operations, Grantee shall have the right to
extend the boundaries of the pipeline construction right of way as illustrated on the plats
attached hereto as Exhibit "A". However, after the completion of the construction and
restoration as provided in Sections Two and Three above, Grantee shall have no further
right to such construction right of way or temporary working space, and Grantee's rights
shall be limited solely to a permanent right of way 50 feet in width, and the pipeline
constructed pursuant to this instrument as well as all operations, inspection, maintenance,
and repair of said pipeline shall be confined to such right of way with ingress and egress
rights as defined below.

SECTION FIVE
INGRESS AND EGRESS DURING CONSTRUCTION
Grantee shall not have the use of existing roads within the premises of Grantor for ingress
or egress at any time unless otherwise provided herein. All activities of Grantee on the
premises, including but not limited to ingress and egress, shall be limited to the pipeline
right of way, except that Grantee shall have the right to ingress and egress to the pipeline
right of way during construction and restoration as defined herein above on an existing two
track, unimproved access road not to exceed approximately thirty (30') feet in width which
is shown on Exhibit "8" which is made part of this agreement by this reference.
SECTION SIX
TERM OF RIGHT OF WA Y AND RECONVEYANCE
All rights and privileges granted herein shall terminate if Grantee fails to complete
construction of said pipeline within three (3) years of entering into this easement, or
Grantee fails to maintain and operate said pipeline by transporting product therein for a
period of more than twenty-four (24) consecutive months following date pipeline hereunder
commences flow.
Grantee may at any time permanently abandon in place said right-of-way upon receipt and
acceptance of any necessary approvals. Upon such abandonment, Grantee shall execute
and record a reconveyance and release hereof, whereupon this right-of-way and easement
and all rights and privileges herein mutually granted shall be fully canceled and terminated
except those set forth in Section Twenty Three below.
On the termination of the rights granted herein, whether as set forth under this section or
otherwise, Grantee shall execute and deliver to Grantor, within ninety (90) days after
service of a written demand therefore, a good and sufficient quitclaim deed to all rights
hereby granted. Should Grantee fail or refuse to deliver such deed to Grantor, a written
notice by Grantor reciting the failure or refusal of Grantee to execute and deliver such
deed, and terminating this grant, shall, after thirty (30) days from the date of recording of
such notice, be conclusive evidence against Grantee and all persons claiming under
Grantee of the termination of this grant.
SECTION SEVEN
CERTIFIED PLA T
Within one (1) year of the date construction of the pipeline hereunder is completed,
Grantee shall record in the Office of the Lincoln County Clerk, a certified plat that is
completed by a registered Wyoming land surveyor. A copy of that plat which shall detail the
exact location of the pipeline as built and its location within the easement shall be provided

SECTION EIGHT
ARCHEOLOGICAL REPORT AND ARTIFACTS
Grantee shall have an archeologist review the area of the proposed right of way for
archeological artifacts and generate a report of such review. A copy of that report shall be
provided Grantor and all artifacts, excluding remains that are suspected and are
subsequently confirmed to be those of Native Americans, located by the archeologist shall
be provided Grantor and remain Grantor's property unless the artifacts are left on location.
Archeologist shall specifically identify the location of such artifacts to Grantor on a project
map.
SECTION NINE
DRIPS, VALVES AND SURFACE INSTALLATIONS
Grantee agrees that no drips or valves shall be placed on any pipeline where that pipeline
passes through the premises. Grantee shall have no right to locate any surface installation
on any part of the pipeline right of way, or to fence the whole or any part thereof, except
Grantee shall be allowed to install pipeline location markers and cathodic protection
equipment, provided that Grantee shall not be allowed to place pipeline location markers or
cathodic protection equipment in any area used for the production of hay except the
pipeline location may be marked in hay meadows where it crosses beneath fences and at
the railroad crossing as required by the Department of Transportation.
SECTION TEN
NO ADDITIONAL PIPELINES, TELEPHONE LINES, OR OPTIC FIBER CABLES
Grantee shall have the right to place only one (1) pipeline that is not larger than
fourteen (14) inches in diameter within the pipeline right of way. Grantee shall not have the
right to change the size or install any additional or larger pipelines, telephone lines, optic
fibers or any other item except the cathodic protection for the pipeline identified herein
within the right of way.

SECTION ELEVEN

PA TROL OF PIPELINE FOR MAINTENANCE
Grantee shall notify Grantor in person or by telephone prior to entering the premises or
right of way when patrolling or maintaining the pipeline. Grantee shall notify Grantor of the
need to patrol or maintain the pipeline within the right of way and Grantee shall discuss the
method of patrol and maintenance to minimize any future damage of the surface as used
by Grantor. Grantee shall compensate Grantor for any future surface damage caused by
Grantee when patrolling or maintaining the pipeline and shall make all repairs in the
surface after such maintenance as is required after construction. Failure of Grantee to
make such notification and receive permission that shall not be reasonably withheld, shall
be deemed a trespass except in case of an emergency at which time Grantee shall notify
Grantor of such entry as soon as possible. When scheduling maintenance or another
need arises to enter the premises, if Grantee is unable to contact Grantor personally in
advance, Grantee shall send not less than ten (10) days before entry of the premises is to
occur, by mail, a letter notifying Grantor of such entry and the method of entry. Grantor is
usually available by telephone at his home each day between 6:00 and 8:00 a.m., between
noon and 12:45 p.m., and after 6:00 p.m. until 8:00 p.m.
SECTION TWELVE
NO REMOVAL OF PIPELINE
Upon the termination of this right of way or upon the abandonment of the pipeline placed
therein, Grantee shall have the option to leave all pipe in place or to remove said pipe
unless there are specific regulations put in place by a regulatory agency that requires
removal without any other alternative. If Grantee removes said pipe, Grantee shall be
responsible for damages to Grantor's property.
SECTION THIRTEEN
GRANTOR'S RIGHT TO USE SURFACE
Grantor reserves the right to fence the whole of any part of the boundaries of the pipeline
right of way, and the right to build fences crossing such right of way. Grantor further
reserves and shall have the right to fully use and enjoy the premises and the boundaries of
the pipeline right of way for his ranching operation and any other reasonable use thereon
including roads except for such use as may unreasonably interfere with the exercise by
Grantee of the rights granted herein. Grantor shall not construct or permit to be constructed
any reservoir, excavation, change in surface grade, structure, or obstruction on, over, along
or within said right of way without Grantee's prior written consent. Grantor shall comply with
all existing mandatory Wyoming State Laws prior to any excavation or digging within
Grantee's right of way granted herein.

GENERAL DEPTH OF BURIAL OF PIPELINE
Grantee shall bury the top of the pipe in the pipeline a minimum depth of five (5) feet below
the lowest point of the original ground within the agricultural and range lands, said lands
occupying an area 5,000 feet in length from the southern right of way boundary of U. S.
Highway 30 to existing fence on Grantor's land marking southern boundary of hayfield and
pastures of Grantor, in which the pipeline is laid as it is agreed that Grantor is intending to
and shall be allowed to use the surface area of the right of way as set forth in Section
Thirteen.
SECTION FIFTEEN
DEPTH OF BURIAL OF PIPELINE UNDER DITCHES
Grantee shall bury the top of the pipe in pipeline a minimum depth of five (5) feet below
grade of the lowest point of any ditch or irrigation canal that the pipeline crosses. Such
depth shall be maintained for at least ten (10) feet on each side of the ditch or irrigation
canal bank.
SECTION SIXTEEN
DEPTH OF BURIAL OF PIPELINE UNDER RIVERS
Grantor shall bury the top of the pipe in pipeline a minimum depth of five (5) feet below
grade of the lowest point of any river or creek that the pipeline crosses. Such depth shall
be maintained for at least fifteen (15) feet on each side of the river or creek bank.
SECTION SEVENTEEN
RESTORA TION OF SURFACE
Grantee agrees to remove topsoil where it exists from the right of way ditch line only and
separate from other material removed by Grantee in the construction of its pipeline, to
store that topsoil separately from other material and to replace such topsoil in the right of
way in completion of construction of such pipeline. Grantee further agrees that the right of
way shall be left free of any holes, or piles of dirt which would interfere with farming or
ranching operations thereon except for a mound to be left over the excavated ditch area to
allow for any settlement after construction. Grantee agrees that stones larger than two (2)
inches in diameter shall be removed from the right of way easement and temporary work
spaces across active agricultural areas, specifically Grantor's existing hayfield.
Grantee agrees to hire or enter into an agreement with a contractor or contractors to

complete the restoration of the surface. That contractor shall complete restoration of the
surface, provided that Grantee shall continue to be responsible for contractor's
performance. Grantee agrees that surface restoration shall include hauling away any alkali
soil or clay that is on top of the ground after the construction is completed in Grantor's
hayfield. Grantee or its contractor shall haul in meadow grade topsoil of the same or
similar type and quality that currently exists in the meadow area to level the construction
area. All soil in the construction area of Grantor' haymeadow shall again be leveled and
compacted, including water compaction if necessary after a complete cycle of seasons has
passed from the date construction of the pipeline is completed. Grantee further agrees to
reseed with an adequate rate of seed application, as recommended by the local soil
conversation district, the entire disrupted construction area including the right-of-way and
the area used for ingress and egress outside the right-of-way for the pipeline should that be
necessary. Immediately, but not more than one (1) months after the pipeline is laid, the
meadow area shall be leveled and cleaned and the Grantee shall reseed the areas in
Grantor's hayfield with oats and fertilize, subject to Grantor's right to waive this
requirement. After March 1, but before May of the year following completion of
construction, Grantee shall again level the area of Grantor's hayfield that has been
disrupted and previously planted with oats and hay and reseed it with hay seed or seed of
plant that is like that in the disrupted area and fertilize. During initial construction, Grantee
shall install any waterbars and/or other water control structures around the banks where
the right of way crosses any river, creek, ditch or irrigation canal to eliminate or reduce
erosion. If applicable, Grantee shall also apply straw, burlap or a mulch to eliminate or
reduce erosion and foster regrowth of vegetation to disturbed areas.
All areas that are disturbed for access to the pipeline, including but not limited to the areas
where pipes or flumes are installed in irrigation ditches to transport irrigation water over the
construction area, shall be restored as provided immediately above. Such restoration, as is
applicable, shall specifically include but not be limited to Grantee bringing in topsoil in
Grantor's hayfield to level any ground ;that has been compacted or displaced resulting in
uneven ground prior to any seeding and fertilizing.

SECTION EIGHTEEN

NO IRRIGA TION DURING CONSTRUCTION AND
REPAIR OF DRAINAGE AND IRRIGA TION SYSTEMS
Grantor retains the right to irrigate all of the property owned by Grantor listed above, prior
to September 1 of the year in which Grantee begins construction,. Grantor may continue to
irrigate said land until notified by Grantee, or until September 1 of the year in which
Grantee begins construction, to assure all irrigation water is piped or flumed downstream
of the construction area. Prior to September 1, as above, Grantee may request Grantor to
terminate irrigation of the property identified above approximately one (1) week before
construction operations begin and to not irrigate said property until approximately one (1)
week after construction in completed. Grantee shall be responsible for and maintain all
piping or flumes for transporting irrigation water downstream of the construction site but
Grantor may work with and utilize the irrigation water for crops before it enters the piping or
flume and after the water reaches the downstream location. Upon completion of the
construction of the pipeline, as part of the construction operation, Grantee shall be
responsible for dismantling and removing the piping or fluming used to transport the
irrigation water past the construction area.
Grantee shall provide or reasonably compensate Grantor extra expenses incurred, if any,
by Grantor for having to work with the piping and flumes to irrigate his "downstream" land,
by Grantor not irrigating said property above, provided such irrigation is diminished or
stopped prior to Septmebr 1 of the year in which construction is begun, and Grantee shall
also pay any and all damages associated with Grantor not being allowed to irrigate his land
prior to September 1 as above, such as: crops, hay, pasture damages, and loss of use
and/or revenue if notified by Grantee not to irrigate prior to September 1, as above.
Grantee shall also reimburse Grantor or Grantor's Tenant, if any, for disruption of or
nonuse of the pasture for grazing purposes. Damages for lost hay production due to
Grantee's construction activities shall be paid based on the values of hay of a similar
quality as hay previously harvested from said land in big round bales, dried base weight
between approximately one thousand (1,000) and twelve hundred (1,200) pounds and two
(2) tons of hay per acre that is not irrigated prior to September 1, as above, pursuant to
this section. Damages shall include the cost of the hay and the cost to deliver the hay to
Grantor's property
Grantee agrees to replace or rebuild to the satisfaction of Grantor or his representative any
and all damaged parts of any drainage or irrigation system including but not limited to any
ditch, river bank or creek bank that may be damaged by the construction of any pipeline
pursuant to this instrument. Grantor and Grantee agree that there may be state or federal
requirements for restoration of environmentally sensitive areas, such as ditches, river
banks, creek banks or wetland areas which would take precedence over the requirements
of Grantor.
Neither this Section nor this agreement or easement allows the Grantee any control over
Grantor's use of water and water rights on any portion of his ranch except the section
specifically designated.

SECTION NINETEEN

PROTECTION AND MAINTENANCE OF FENCES
Grantee shall have the right to cross fences on the premises whenever such crossing shall
be necessary in the construction and maintenance of its pipeline or pipelines on the
premises; however, Grantee shall maintain a proper enclosure at all times and restore such
fences to their condition prior to crossing immediately as Grantor shall be entitled to use
the premises for grazing livestock during construction. Grantee shall hold harmless and
indemnify Grantor for any and all injury or livestock loss which may occur as a direct result
of Grantee' negligence that is incurred by Grantor at any time that Grantee is accessing
said easement, whether it be for construction, restoration, maintenance or emergency
repairs when such loss is due to the failure of an enclosure of fence that Grantee is using
or used for such access. If a loss occurs, Grantor shall notify Grantee as soon as
practicable and shall not dispose of any livestock, if Grantor can control such disposal, until
Grantee has been notified and has an opportunity to review.
SECTION TWENTY
GRANTOR'S ACCESS TO LAND DURING CONSTRUCTION
Grantor specifically reserves the right of access and use of the premises, subject to
Grantee's rights herein, at all times during construction and thereafter. Specifically, Grantor
shall be entitled to use the premises for his ranch operations which shall include but not be
limited to using the fields across which the pipeline will cross for grazing of livestock and
transportation of irrigation water. Accordingly, Grantee shall assure that Grantor is able to
access all of his fields and all portions thereof even after the trench for the construction of
the pipeline has been opened on the premises. Specifically, Grantee agrees to have a
location or portion of the trench for the construction of the pipeline through the fields being
used for grazing that is either not cut open or is backfilled and Grantor shall specify exact
locations of the crossover prior to construction beginning on Grantor's property so that
Grantor or his agents or employees may cross the trench or right of way by truck and such
that livestock will be able to cross the trench or right of way on the hoof. Grantee further
agrees to provide, erect, construct and maintain a flume, culvert or pipe of a type that will
transport irrigation water over the trench during construction of the pipeline through areas
that are ditches or canals so irrigation water will continue to travel to downstream fields,
subject however to Grantor's agreement under terms of Paragraph 18 above to refrain
from irrigiation of his land after September 1 and before April 1 , if requested by Grantee.
To facilitate or coordinate such use, the project manager of the construction company,
Grantee or an agent and Grantor shall meet and reasonably resolve the details of this
issue prior to construction beginning.

SECTION TWENTY ONE
LIABILITY FOR DAMAGES TO CROPS & IMPROVEMENTS ð00520
Grantee agrees to pay Grantor for all reasonable damages suffered by Grantor as a
result of the exercise by Grantee of rights granted herein, included but not limited to
reasonable damages to growing crops, fences, or improvements on the premises
caused by laying the pipeline hereunder.
SECTION TWENTY TWO
HAZARDOUS WASTES
In the event that an authorized governmental agency or court orders Grantee to remove
hazardous wastes from the easement area or the facilities arising out of Grantee's
construction, operation and maintenance or abandonment of the facilities, Grantee will
indemnify, defend and hold harmless Grantor from and against any and all costs, including
but not limited to any legal defense costs associated with legal or administrative
proceedings concerning any related allegations, costs arising from the clean-up and
remediation set forth in said orders or decisions. This paragraph shall survive the
abandonment, release and termination of the agreement.
SECTION TWENTY THREE
INDEMNIFICA TION OF GRANTOR
Grantee shall indemnify, defend and hold harmless Grantor from and against any and all
loss, damage or injury which may result from the construction, operation and maintenance
of the pipeline and all items appurtenant thereto; provided, however, that said loss,
damage or injury does not arise out of or result from the negligence or willful misconduct of
the Grantor, his agents or employees.
SECTION TWENTY FOUR
ENTIRE AGREEMENT
This is the entire agreement of the parties except for specific detail of the payments.
This agreement is not an amendment to or of any prior easement and is independent of
any and all other easement.

EFFECT OF AGREEMENT
