ASSIGNMENT OF EXISTING EASEMENT RIGHTS
For $10 and other good and valuable consideration, the receipt and sufficiency of which
are hereby acknowledged, EOG Resources, Inc., with an address of 600 Seventeenth Street, Suite
1000 North, Denver, Colorado, 80202, does hereby transfer, convey and assign to Williams Field
Services Company, LLC, with an address of One Williams Center, WRC3-9, Tulsa, Oklahoma
74172, the following described existing easement rights, limited to the route described ("Pipeline
Route") on the lands described in Exhibit A hereto ("Subject Lands") situated in Lincoln County,
Wyoming:

Those certain easement rights and pipeline obligations arising under the Oil and Gas
Lease dated June 27, 1972 by and between Champlin Petroleum Company, as lessor,
and Amoco Production Company, as lessee, recorded in Book 102 PR., Page 405,
Document No. 443330, to install, operate, and maintain a pipeline in and along the
Pipeline Route on the Subject Lands to connect the Fabian Ditch 549-21E well.

Those certain surface use rights and pipeline obligations arising under the Surface
Owner's Agreement dated August 28, 1989 by and between Western Wyoming
Range Limited Partnership and Broadbent Land Company, LP, as grantor, and
Champlin Petroleum Company, as grantee, recorded in Book 277 PR., Page 292,
Document No. 707293, to install, operate, and maintain a pipeline in and along the
Pipeline Route on the Subject Lands to connect the Fabian Ditch 549-21E well, as
such use pertains to the S/2 and the NE/4, Section 21, Township 19 North, Range 112
West, 6th P.M., Lincoln County, Wyoming.
In addition to the foregoing, this Assignment is expressly made subject to the provisions of that
certain Gas Gathering, Processing, Dehydrating and Treating Agreement dated February 1,2004,
as amended, and to all restrictions, exceptions, reservations, conditions, limitations, interests and
other matters, if any, whether of record or not. Assignor shall properly execute, acknowledge,
and file this instrument of record immediately upon receipt thereof, and will furnish to Assignee
the recording data promptly after Assignor receives such recorded instrument from the clerk in
each county in which this instrument is recorded. The tenns, covenants and conditions hereof
shall be binding upon, and shall inure to the benefit of, the Assignor and the Assignee and their
respective successors and assigns.
