THOMAN, ANN J. FERENTCHAK and FRANK FERENTCHAK and ELAINE FERENTCHAK, as Trustees of the Frank Ferentchak Revocable Trust dated August 25, 1998, (hereafter collectively referred to as the "Landowners"). WHEREAS, the Landowners are the owners of certain real pr~perty more particularly described below, and WHEREAS, the Landowners, or their predecessors in interest, received their respective interests in such real property as a part of the dissolution and distribution of t~e assets of Ferentchak Ranch, Inc., a Wyoming corporation, and WHEREAS, the Landowners have agreed, in recognition of such dissolution and distribution, to grant to each other and their heirs a first right of refusal pertaining to a sale of their respective interests in such real property. IN CONSIDERATION of the mutual terms and conditions set forth in this Agreement, and other good and valuable consideration, the parties agree as follows; 1. It is further agreed that if any of the Landowners should receive a bona fide offer from a third party, the terms of which are acceptable to such Landowner, such Landowner agrees to grant and give to each of the other Landowners the first right to purchase such real property at the same price and upon the same and identical terms. A Landowner shall give written notice, of his or her intent to sell their interest in such real , property to such third party, to all other Landowners by certified mail or by delivery of such notice in person. This Agreement shall automatically terminate and be cancelled at 5 0' clock p.m. (Mountain Standard Time) on the 1st day of January, 2010, or ten, (10) years from the date of this Agreement, whichever shall occur first. 4.
