ASSIGNMENT OF OIL & GAS LEASES

KNOW ALL MEN BY THESE PRESENTS:
COUNTY OF LINCOLN
This Assignment of Oil and Gas Leases is entered into effective June 29, 2006, by and among
ZENERGY, INC., 6100 S. Yale Avenue, Suite 1700, Tulsa, Oklahoma 74136 (hereinafter
referred to as "Zenergy"), Palace Exploration Company, 5 East 59th Street, 5th Floor, New
York, New York 10022, Stephens Energy Company LLC, 1825 Lawrence Street, Suite 300,
Denver, CO 80202, and Southwestern Energy Production Company, 2350 N. Sam Houston
Parkway East, #300, Houston, TX 77032, (collectively hereinafter referred to as the "Parties").
WITNESSETH:
WHEREAS, Zenergy has made a prior overriding royalty interest assignments of one
and one-half percent (1.5%) interest in the leases described in Exhibit "A", (hereinafter referred
to as the "Leases"), attached hereto and made a part hereof; and,
WHEREAS, Zenergy has made a prior assignment of two and eight hundred and thirty-
five ten thousandths percent (2.0835%) interest in the Leases; and,
WHEREAS, Zenergy intends to assign the remainder of its working interest in the
Leases to the Parties, expressly reserving an overriding royalty interest onto itself equal to the
difference between twenty-seven and five tenths percent (27.5%) and the existing burdens on
the Leases, thereby delivering to the Parties a net revenue interest of seventy-two and five
tenths percent (72.5%).
NOW THEREFORE, the undersigned, ZENERGY, INC., 6100 S. Yale Avenue, Suite
1700, Tulsa, Oklahoma 74136, hereinafter called "Assignor", for and in consideration of the sum
of Ten Dollars ($10.00) and other good and valuable consideration, the receipt of which is
hereby acknowledged, does hereby grant, bargain, sell, transfer, assign and convey unto the
Parties listed below, hereinafter referred to as "Assignees", their legal representatives,
successors and assigns, all of Assignor's remaining ninety-seven and nine thousand one
hundred and sixty-five ten thousandths percent (97.9165%) interest, in and to the Leases in the
percentages set forth below opposite each Assignee's name:

Palace Exploration Company
39.5865% of 8/8ths
Stephens Energy Company LLC
25% of 8/8ths
Southwestern Energy Production Company
33.33% of 8/8ths
If the Leases cover less than the entire undivided mineral estate in the described lands and/or if
Assignor owns less than all interest in and to said Leases, then the interests herein assigned
shall be proportionately reduced.
The lease acreage hereby is assigned by the Assignor and accepted by the Assignees
subject to the royalties and/or other burdens out of or with respect to production with which said
lease acreage is encumbered.
The Assignees hereby assume and agree to pay their proportionate part of each of said
burdens to the extent that they are a part or remain a burden on the lease acreage herein
assigned and to comply with the terms of (1) the Participation Agreement dated May 1, 2006
between Zenergy, Inc., Palace Exploration Company, Zeneco, Inc., Stephens Energy Company
LLC and Southwestern Energy Production Company; (2) The Seismic Option and Farmout
Contract dated September 22, 2004 between Anadarko Land Corp and Zinke & Trumbo, Inc.,
(n/kIa Zenergy, Inc.); and, (3) any agreements under which the lease acreage may have been
acquired.
