THAT the undersigned, ZENERGY, INC., 6100 S. Yale AJenue, Suite 1700, Tulsa,
Oklahoma 74136, hereinafter called "Assignor", for and in consideration of the sum of Ten
Dollars ($10.00) and other good and valuable consideration of the receipt of which is hereby
acknowledged, does hereby grant, bargain, sell, transfer, assign ahd convey unto PALACE
EXPLORATION COMPANY, 5 East 59th Street, 5th Floor, New Yotk, NY 10022, hereinafter
called "Assignee", its legal representatives, successors and assignS, all of Assignor's rights,
title and interest in and to the leases described in Exhibit "A", attachéd hereto and made a part
hereof. I
The lease acreage hereby is assigned by the Assignor and øccepted by the Assignee
subject to the royalties and/or other burdens out of or with respect to production with which said
lease acreage is encumbered, and subject to the terms of the i Amended and Restated
Exploration and Development Agreement dated September 24, 2003, the The Seismic Option
and Farmout Contract dated September 22, 2004 between Anadarkb Land Corp and Zinke &
Trumbo, Inc., (n/k/a Zenergy, Inc.) and any other agreement undert which it may have been
acquired by Assignor. The Assignee hereby assumes and agrees to pay their proportionate
part of each of said burdens to the extent that they are a part or remain a burden on the lease
acreage herein assigned and to comply with the terms of any agreem~nts under which the lease
acreage may have been acquired. I
This Assignment is made without warranty of title either expresl's or implied, except as to
claims made by, through or under Assignor.

however, effective for all purposes as of June 29, 2006.
