This Assignment of Multifamily Mortgage, Assignment of Rents and Security Agreement is made and entered into
the 6th day of July, 2007 by and between PNC ARCS LLC, a Delaware limited liability company, with its principal place of
business at 26901 Agoura Road, Suite 200, Calabasas Hills, California 91301 ("Assignor") and Fannie Mae, with its place of
business at c/o PNC ARCS LLC, Suite 200, 26901 Agoura Road, Calabasas Hills, California 91301 ("Assignee").

That for good and valuable consideration, Assignor does hereby assign to Assignee all of Assignor's right, title and
interest in and to a Multifamily Mortgage, Assignment of Rents and Security Agreement ("Mortgage") made by High Desert,
LLC, a Wyoming limited liability company, and the Note secured thereby, to PNC ARCS LLC dated July 6, 2007, in the
amount of $2,307,000.00 which Mortgage is intended to be recorded simultaneously herewith in the Office of the County
Clerk, County of Lincoln, Wyoming, together with all of Assignor's right, title, and interest in and to the real property
described in the Exhibit A.
