EASEMENT AGREEMENT
THIS EASEMENT AGREEMENT is entered into by PRATER VIEW
DEVELOPMENT COMPANY, LLC, a Wyoming limited liability company, 1595 County
Road 119, Thayne, Wyoming 83127 "Prater View", and RONALD E. AHRENS and MARY
ANN AHRENS, TRUSTEES of the Ronald E. Ahrens and Mary Ann Ahrens Living Trust
dated February 14, 2000, P.O. Box 624, Thayne, Wyoming 83127 "Ahrens, Trustees",
referenced together as the "Parties".
WHEREAS, Prater View is the record owner of the following described real property
located in Lincoln County, Wyoming:

(Southwest Part of Homestead Entry Survey No. 62)"; "W1I2 Tract B (Southeast Part of
Homestead Entry Survey No. 62)"; "E1I2 Tract B (Southeast Part of Homestead Entry
Survey No. 62)"; and "Description: Humphreys - Ahrens Contract of Sale", copies of
which are attached hereto and incorporated herein by reference; and
WHEREAS, Ahrens, Trustees are the records owners of the following described real
property in Lincoln County, Wyoming:

The real property described in the deed that was recorded in the land records of
Lincoln County, Wyoming, on February 17, 2000, in Book 441 PR at Page 641 as
Instrument No. 864211, a copy of which is attached hereto and incorporated herein by
reference; and
WHEREAS, Ahrens, Trustees are the contract purchasers from Prater View of the
following described real property in Lincoln County, Wyoming:
The real property described in the property description identified as "Description:
Humphreys - Ahrens Contract of Sale", a copy of which is attached hereto and
incorporated herein by reference; and
WHEREAS, the Parties have agreed to the establishment of easements for the mutual
benefit of all of the above-identified properties.
NOW, THEREFORE, the Parties, for themselves and their heirs and/or successors and
assigns, hereby establish the following easements:
a. 60-FOOT COMMON ACCESS EASEMENT.
i. Easement Established. The Parties, for themselves and their heirs and/or
successors and assigns, hereby reserve and/or grant and convey a perpetual non-exclusive
easement for ingress, egress, and underground utilities across a portion of the above-
identified properties in favor of and for the benefit of all of the above-identified
properties, said easement being more particularly described in the property description
titled "Sixty (60) Foot Common Access Easement", a copy of which is attached hereto
and incorporated herein by reference.
ii. Consideration. For and in consideration of Ten Dollars ($10.00) and the
mutual promises and agreements of the Parties, and other valuable consideration, in hand
paid, the receipt of which is hereby acknowledged, the Parties state and declare that
consideration have been provided to each of them for this Agreement.

iii. Easement Covenants. The Parties, for themselves and their heirs and/or
successors and assigns, hereby agree:
A. That except for temporary obstructions required for the purposes of
maintaining and improving the easement, and installing and maintaining,
repairing, and replacing underground utilities therein, the easement shall not be
obstructed in any manner that would impede free ingress and egress of the Parties,
or of any other person or persons with right of ingress and egress in the easement.
Easement maintenance and improvement, and utility installation, maintenance,
repair, and replacement shall be done in a manner that minimizes any
inconvenience to all who are authorized to use the easement for ingress and
egress.
B. That the easement shall be used by the Parties for private and
commercial ingress and egress, but such use shall not occur in such manner that
the use interferes with any party's or any other persons rights to use of the
easement.
C. That any improvements made within the easement shall be at the
sole expense of the party making the improvements unless otherwise agreed to in
writing.
D. That the Parties agree to indemnify and hold harmless the other
parties from any and all liability for personal injury or property damage that
results from, arises out of, or may be attributed to any use of the easement unless
such injury or damage is intentionally caused.
e. That the road within the easement shall be maintained as a private
road and not as a county road unless otherwise agreed to by the Parties.
iv. Easement Runs With Lands. The easement created herein shall run with
the lands identified herein, and shall be binding on and shall inure to the benefit of the
Parties, and their heirs and/or successors and assigns.
v. Entire Agreement. This Agreement constitutes the entire agreement
between the Parties, and any prior understanding or representation of any kind preceding
the date of this Affidavit shall not be binding except to the extent incorporated in this
Affidavit.
vi. Modification of Easement. Any modification of the easement shall be
binding only if evidenced by agreement in writing signed by the Parties or their heirs
and/or successors and assigns.
b. 20-FOOT UTILITY EASEMENT.
i. Easement Established. The Parties, for themselves and their heirs and/or
successors and assigns, hereby reserve and/or grant and convey a perpetual non-exclusive
easement for any and all underground utilities, including water wells, and any above-
ground equipment that is appurtenant to and required for the operation of such
underground utilities, across a portion of the property identified in the property
description identified as "Description: Humphreys - Ahrens Contract of Sale", in favor of
and for the benefit of all of the above-identified properties, said easement being more
particularly described in the property description titled "Twenty (20) Foot Utility
Easement", a copy of which is attached hereto and incorporated herein by reference.
ii. Consideration. For and in consideration of Ten Dollars ($10.00) and the
mutual promises and agreements of the Parties, and other valuable consideration, in hand
paid, the receipt of which is hereby acknowledged, the Parties, state and declare that
consideration have been provided to each of them for this Agreement.

Hi. Easement Covenants. The Parties, for themselves and their heirs and/or
successors and assigns, hereby agree:
A. That the Parties shall have the right to enter onto the easement for
the purposes of installing and maintaining, repairing, and replacing underground
utilities therein; provided, that such activities shall be done in a manner that
minimizes any inconvenience to the owner of the underlying property; and
provided further, that the person(s) completing any utility work in the easement
shall, as soon as practicable upon the completion of such utility work, take
appropriate actions to restore the easement surface.
B. That the easement shall be used by the Parties for installing and
maintaining, repairing, and replacing underground utilities.
C. That any improvements made within the easement shall be at the
sole expense of the party making the improvements unless otherwise agreed to in
writing.
D. That the Parties agree to indemnify and hold harmless the other
parties from any and all liability for personal injury or property damage that
results from, arises out of, or may be attributed to any use of the easement unless

Sale Purchase Agreement between the Parties that was made of record by the Notice of Real
Estate Sale / Purchase Agreement that was filed in the land records of Lincoln County, Wyoming
on February 27,2003 in Book 513 PR at Pages 685 through 687 as Instrument No. 888067.
