The undersigned are parties to a real estate sale contract relating to property located in
Lincoln County, Wyoming d'escribed in Exhibit A hereto, and closing is occurring at this time.
The parties agree that the following provisions of said contract will survive the closing:
AGREEMENT
a. Provision XV(4) - "Buyer shall be obligated to share part of Sellers cost to
establish a buffer zone of trees between the East property line of the subject
property and the West boundry line of US Highway 89. Buyer and Seller shall
reach an agreement no later than May 26, 2007. Purchasers have the option to
increase the number of trees and berm size, with the approval of seller."
b, Provision XV(6) - "Buyer is obligated to maintain all of Longview roads
(Longview, Cabin, & Foxtrail), complete, maintain, and govern the Longview
Ranch Subdivision culinary water system as described in 'Amended Longview
Ranch Declaration of Covenants, Conditions and Restrictions' dated June 15,
2006, recorded June 16,2006 and filed for record in Book 623, page 558, in the
Office of the Lincoln County Clerk, Kemmerer, Wyoming."
c, Item #2 of the Addendum to Contract dated 6/29/07-- "Buyer agrees that all
contents all the contents of log building (including PVC water pipe) is Seller's
personal property. Buyer will allow Seller to store said personal property in the
log building until they request that it be removed. Seller will remove all personal
property within 15 days of Buyer's notification to move the personal property.
d, Item #3 of the Addendum to Contract dated 6/29/07--"Buyer agrees that the
crushed gravel is owned and under the control of Seller for use in Buffer zone,
nursery, roads in Longview Ranch Resort and Longview Ranch Subdivision.
Buyer hereby grants Seller the right of access to remove the gravel as needed."
e, Sellers warrant that Lot 24 is a common lot owned by Longview Ranch
Subdivision and Longview Ranch Resort and through it owners of said
subdivision and Resort have access to the Salt River and U.S. Forest Service
lands, beyond.
f. Sellers, individually and collectively, hereby assign all of their right, title, and
interest as Declarant in any and all Covenants, Conditions and Restrictions
regarding the Longview Ranch Resort, Longview Ranch, and the Longview
Ranch Subdivision.
g. The parties further agree that under no circumstance or condition is any Longview
culinary water from any Longview waterwell to be shared or comingled with the
culinary water of any subdivision of land adjacent to Longview Ranch Res0l1, the
subject property, or Longview Ranch Subdivision.
