THIS ASSIGNMENT made this 14th day of August, 2007, by CALINE J. FERGUSON
and LEE A. GRANT, successor Trustees of the CALVIN BARNES LIVING TRUST DATED
FEBRUARY 16, 2005, of 4050 Palisades, Green River, Sweetwater County, Wyoming,
hereinafter called "Assignors", and the CALVIN BARNES FAMILY LIMITED
PARTNERSHIP, a Wyoming limited partnership, whose address is 4050 Palisades, Green
River, Sweetwater County, Wyoming 82935, hereinafter called "Assignee";
WIT N E SSE T H:
WHEREAS, on September 28, 1973, an Oil and Gas Lease was entered into by and
among Calvin E. Barnes (also known as Calvin Barnes) and Pauline Barnes, husband and wife,
as Lessors, and Rainbow Resources, Inc., as Lessee, which Oil and Gas Lease was recorded
November 9, 1973, in Book 108PR, Page 73, in the records of the Lincoln County Clerk's
Office; and
WHEREAS, Pauline Barnes, one of the original Lessors, died on June 27, 1983, and an
affidavit terminating her interest in said Oil and Gas Lease was filed on the 10th day of January,
2007, in Book 645, Page 855, in the records of the Lincoln County Clerk's Office; and
WHEREAS, on February 16,2005, Calvin Barnes, executed a General Conveyance,
attached hereto, marked "Exhibit A", and by reference made a part hereof, conveying,
quitclaiming transferring and assigning unto Calvin Barnes, Trustee, or his successor(s) in trust,
under the Calvin Barnes Living Trust dated February 16, 2005, all fee interests, leaseholds,
mortgages, deed of trust, mining claims, mineral, production and royalty payments and interests
of every kind, oil and gas leasehold interests, overriding royalties, water rights, rights of way,
easements, concessions, royalties and contracts to acquire such interests, and also including all
buildings and other improvements of every kind on, under or above the land, or which are in
any manner a part thereof, awards for condemnation of real property, and all other interests of
every kind generally considered to be real property, whether like or unlike the foregoing; and
WHEREAS, on September 3, 2006, Calvin Barnes died, and Caline J. Ferguson and
Lee A. Grant succeeded to the trusteeship of Calvin Barnes under the CALVIN BARNES
LIVING TRUST DATED FEBRUARY 16,2005, on September 6,2006; and
WHEREAS, pursuant to the attached General Conveyance, Caline 1. Ferguson and
Lee A. Grant, as successor trustees to Calvin Barnes under the CALVIN BARNES LIVING
TRUST DATED FEBRUARY 16,2005, executed an Assignment of Oil and Gas Leasehold
Interest dated January 12, 2007, in favor of Caline J. Ferguson and Lee A. Grant, successor
trustees under the Calvin Barnes Living Trust dated February 16,2005, which Assignment was
recorded in the records of the Lincoln County Clerk on January 19, 2007, in Book 646, Page
621, conveying the oil and gas leasehold interests described therein to said trust; and
WHEREAS, in consideration of the sum ofTen and No/lOO Dollars ($10.00), and other
good and valuable consideration in hand paid by the Assignee to Assignors, receipt whereof is
hereby acknowledge~ Assignors, do hereby transfer, assign and set over unto the following in
the proportions indicated, all interest held by the CALVIN BARNES LIVING TRUST DATED
FEBRUARY 16,2005, in and to that certain Oil and Gas Lease dated September 23, 1973, and
any and all extensions thereto, to-wit:
All interest to: CALVIN BARNES FAMILY LIMITED PARTNERSHIP of
Star Route HC 8216, Kemmerer, Wyoming 83101

TO HAVE AND TO HOLD the said interest in the Oil and Gas Lease dated
September 28, 1973, and any and all extensions thereto, hereby conveyed to Assignees, their
heirs, representatives and assigns forever.

THIS GENERAL CONVEYANCE dated February 16, 2005, is from CALVIN
BARNES ("Grantor"), to CALVIN BARNES, Trustee, or his successor(s) in trust,
under the CALVIN BARNES LIVING TRUST, dated February 16, 2005, and any
amendments thereto, ("Grantee").
1. Conveyance. For good and valuable consideration, the receipt and
sufficiency of which is acknowledged, Grantor hereby gives, grants, bargains, sells,
conveys, quitclaims, transfers and assigns unto Grantee all of Grantor's real property
and all of his interests of every kind in and to real property, wherever situated and
\ whether or not vested of record in Grantor, including all fee interests, leaseholds,

2. Other Instruments. Promptly on request, Grantor and his heirs and assigns
will execute and deliver such additional instruments as Grantee may request in order
to confirm the foregoing conveyance.
