ASSIGNMENT OF PROMISSORY NOTE AND MORTGAGE

THIS ASSIGNMENT made this 8"~ day of August,
2007, by Wyoming Community Development Authority,
hereinafter referred to as Assignor, to Michael Martin and
Jennifer Martin, husband and wife, whose mailing address is
233 Aspen Way, Rock Springs, WY 82901, hereinafter referred
to as Assignee, witnesseth as follows:
WHEREAS, Timothy R. Trefren executed and
delivered his Promissory Note to First Colony Mortgage
Corporation, dated July 30, 1999, in the original principal
amount of $4,600.00, together with interest thereon at the
rate and subj ect to the other terms and conditions stated
therein; and
WHEREAS, also under date of July 30, 1999, in
order to secure the payment of the above described
Promissory Note according to the terms thereof, Timothy R.
Trefren, the Mortgagor, granted to First Colony Mortgage
Corporation a second lien Mortgage, which Mortgage was
recorded on July 30, 1999 in the Office of the County Clerk
and Ex-Officio Register of Deeds of Lincoln County,
Wyoming, in Book 433PR, at Page 802, covering the following
described real property and premises, to wit:

Lot 64 of Nordic Ranches Division No.5, Lincoln
County, Wyoming, according to the official Plat
thereof, filed of record in the Office of the
County Clerk and Ex-Officio Register of Deeds of
Lincoln County, Wyoming, on August 9, 1994, as
Plat No. 311-0, together with all appurtenances
situate thereon and appertaining thereto,
subject, however, to all exceptions,
reservations, easements and restrictions of
record; and
WHEREAS, the above described Promissory Note and
Mortgage were assigned for value to Wyoming Community

NOW, THEREFORE, the said Assignor, for and in
consideration of the sum of Ten Dollars and other good and
valuable consideration, receipt whereof is hereby
acknowledged, has sold, assigned, transferred, conveyed and
set over, and by these presents does hereby sell, assign,
transfer, convey and set over to the said Assignee, without
covenants of warranty , all right, title and interest of
said Assignor, which it may now have or may at any time and
in any manner hereafter acquire, in, to and under the above
described Promissory Note and Mortgage, together with all
and singular the premises described therein, and all
obligations therein mentioned, and the sums of money due
and to become due thereunder, from and after the date
hereof, together with any and all interest to accrue
thereon from and after the date hereof.
TO HAVE AND TO HOLD the same unto the said
Assignee, their successors and assigns, subject only to the
provisions, terms and conditions contained in this
Assignment and the. above described Promissory Note and
Mortgage.
To the extent necessary and for the limited
purposes set forth herein only, Assignor does hereby
irrevocably appoint the said Assignee as their attorney, in
its name or otherwise, but at their own cause, to take all
proper ways and means for the enforcement of the provisions
contained in the aforesaid Promissory Note and Mortgage,
for the recovery of the said sums of money and interest due
thereon, and in case of final payment, to discharge the
said Promissory Note and Mortgage, and to take all actions
whatsoever with respect to the same as Assignor could have
taken if these presents had not been made.
Assignor does for itself, its successors and
assigns, covenant with the said Assignee, their successors
and assigns, that said Assignor has good right to sell and
assign the aforesaid Promissory Note and Mortgage.
