PARTIAL RELEASE OF MORTGAGE (WITH POWER OF SALE), ASSIGNMENT
OF PROCEEDS OF PRODUCTION, SECURITY AGREEMENT AND FINANCING
STATEMENT . 000294
For good and valuable consideration, the receipt and sufficiency of which is
hereby acknowledged, the undersigned JDW, Inc., a Texas corporation ("Mortgagee"),
hereby executes and delivers this Partial Release of Mortgage (with Power of Sale),
Assignment of Proceeds of Production, Security Agreement and Financing Statement
(this "Release") to release of record that certain Mortgage (with Power of Sale),
Assignment of Proceeds of Production, Security Agreement and Financing Statement
granted by Hunter Energy LLC ("Mortgagor") to Mortgagee dated as of December 9,
2005 and recorded April 10, 2006 in Book 616 at Page 524 of the real estate records of
Lincoln County, Wyoming, and that certain Mortgage (with Power of Sale), Assignment
of Proceeds of Production, Security Agreement and Financing Statement granted by
Mortgagor to Mortgagee dated as of January 19, 2006 and recorded April 10, 2006 in
Book 616 at Page 552 of the real estate records of Lincoln County, Wyoming,
(collectively, with the liens created thereby, the "Mortgages") insofar and only insofar
as such Mortgages cover and burden a eight and thirty-three one hundredths percent
(8.33%) interest (the "Released Interest") in the leases and lands located in Lincoln
County, Wyoming described on Exhibit A attached to this Release (collectively, the
"Released Lands"). It is the intent of Mortgagee herein to release and discharge, and
Mortgagee does hereby release and discharge, the Released Interest in the Released
Lands from the Mortgages and the liens created thereby.
This Release shall not in any way affect the validity or existence of the
Mortgages, or the liens created thereby, insofar as they relate to, cover or encumber any
interests, leases and lands not included within the Released Interest in the Released
Lands described above, and the Mortgage shall remain in full force and effect except as
to such Released Interest in the Released Lands. Without limiting the generality of the
foregoing and for avoidance of doubt, this Release releases and discharges the
Mortgages and liens created thereby only as to an eight and thirty-three one hundredths
percent (8.33%) interest in the Released Lands, and that Mortgagee shall retain the
rights, benefits and privileges granted it under the Mortgage and liens created thereby
as to a twenty-five percent (25.0%) interest in the Released Lands.
