Joseph C. Stevens, whose mailing address is 4 Cuttings Comer, Hanover, NH
03755-3220 ("Assignor"), for and in consideration of the sum of One Hundred Dollars
($100.00) and other good and valuable consideration, the receipt and sufficiency of which
are acknowledged, does, subject to the terms, provisions and covenants contained in this
Assignment, hereby grant, convey and warrant unto Wold Oil Properties, Inc., a
Wyoming corporation, whose mailing address is 139W.2ndStreet,Suite 200, Casper, WY
82601 ("Assignee"), effective as of July 1, at 7:00 a.m. local time (the "Effective Time"),
all of Assignor's right, title and interest in and to the following assets (collectively, the
"Assets"):

A. The oil and gas lease described on Exhibit "A", annexed hereto, together
with all leases pooled, communitized or unitized therewith (the "Leases"), including
without limitation any working interest, production payment, net profits interest, royalty
interest, overriding royalty interest, leasehold rights, surface estates, and any reversionary
rights held by Seller, and all the property and rights appurtenant or incident thereto,
including without limitation, the oil, gas, and associated substances and other minerals
produced or producible from or attributable to the Leases.
B. All wells located on the Leases, including without limitation, the wells
described on Exhibit "B", annexed hereto, and any and all other wells located on the
Leases, including oil and gas wells, injection wells, disposal wells and water wells (the
"Wells"), together with all surface and downhole equipment, structures, flowlines,
gathering lines and pumps presently located upon or appurtenant to, and used in
connection with the exploration, development, operation or maintenance of the Wells.
C. All personal property, fixtures, improvements, and other property, whether
real, personal, or mixed, on, appurtenant to, or used or obtained in connection with the
Leases or Wells, or with the production, treatment, sale, or disposal of hydrocarbons or
water produced therefrom or attributable thereto, including without limitation, well
equipment, casing, tubing, rods, tanks, tank batteries, buildings, disposal facilities, field
separators and liquid extractors, compressors, pumps, valves, fittings, machinery and
parts, engines, meters, tools permanently on the premises, pipelines, gathering systems,
power lines, and telephone lines, roads, and all other appurtenances thereunto belonging
(the "Equipment"). '
D. All rights existing under all contracts and agreements that benefit or
burden the Leases including without limitation, operating agreements, pooling
agreements, communitization agreements, declarations of pooling or unitization, farmout
agreements, assignments, gas sale contracts, gas processing contracts, and all other
instruments and agreements (the "Contracts").
E. The oil, gas, coalbed methane, casinghead gas, condensate, distillate,
liquid hydrocarbons, gaseous hydrocarbons, and other minerals and products produced

from the leases, and/or refined and manufactured from the foregoing, and the accounts
and proceeds from the sale of all of the foregoing (the "Production") to the extent such
Production is produced under the tenns of the Leases and the Contracts after the Effective
Time.
F. All rights, to the extent assignable, in easements, rights-of-way, pennits,
licenses, surface leases, and servitudes and other surface rights appurtenant to the Assets
(the "Easements").
G. The originals (copies, where originals do not exist) of all lease files, well
files, unit files, division order files and lease contract files and other files in Seller's
possession which relate to the Assets (the "Files").
TO HA VE AND TO HOLD the Assets unto Assignee and its successors and
assigns forever.
1. Separate assignments of the Assets may be executed on official
governmental forms by Assignor to Assignee, in sufficient counterparts to satisfy
applicable statutory and regulatory requirements. Those assignments shall be deemed to
contain all of the terms and conditions of this Assignment as fully as though they were set
forth in each such assignment. The interests conveyed by any separate assignments are
the same, and not in addition to the Assets conveyed under this Assignment. This
Assignment has been executed by Assignor and Assignee in duplicate originals, but they
shall constitute but one instrument.
2. If any tenn or provision of this Assignment is held invalid, illegal or
incapable of being enforced under any rule of law, all remaining conditions and
provisions of this Assignment shall survive and remain in full force and effect to conform
to the parties' intent, so long as the economic or legal substance is not affected in a
materially adverse manner with respect to either party.
3. The provisions of this Assignment shall be binding up on and shall inure
to the benefit of Assignor and Assignee and their respective successors and assigns, and
shall constitute covenants running with the land.
4. This Assignment is subject to the survIvmg provlSlons of that certain
Purchase and Sale Agreement dated August 31, 2007, by and between Assignor and
Assignee. In the event of a conflict between the terms and conditions contained in this
Assignment and those contained in the Purchase and Sale Agreement, the Purchase and
Sale Agreement shall govern and control.

dates set forth in the acknowledgments, to be effective for all purposes as of the Effective
Time.
