MEMORANDUM OF ACCESS ROAD AGREEMENT

THIS MEMORANDUM OF ACCESS ROAD AGREEMENT is executed and
recorded by BELL BUTTE GRAZING PARTNERSHIP, A LIMITED PARTNERSHIP,
whose address is c/o Edward M. Bown, Attorney at Law, 1015 East
3900 South, Salt Lake City, Utah 84124 -1110 ("Bell Butte"), and
Hunter Energy, L.L.C., whose mailing address is 800 S. Chester
Street, Suite 375, Centennial, Colorado 80112 ("Hunter"),
collectively the "Parties", to provide public notice that the
Parties have entered into an ACCESS ROAD AGREEMENT dated effective
March 1, 2007, under which Bell Butte has granted to Hunter for a
period beginning March 1, 2007:

A non-exclusive right to improve and utilize and _
maintain an access road approximately 50 ~aet wide and
74.64 feet, more or less, in length, in the
SE1/4SE1/4SE1/4 of Section 35, Township 20 North, Range
118 West, 6th P.M., Lincoln County, Wyoming, more
particularly shown in Exhibit "c" attached hereto and
by reference specifically made a part hereof, in
connection with its drilling and producing operations
involving the Robert Barnes Federal 24-2 Well in the
SE1/4SW1/4 of Section 2, Township 19 North, Range 118
West, 6th P.M., Lincoln County, Wyoming,
together with all of the other terms and conditions more
particularly set forth and stated therein. For further information
regarding the ACCESS ROAD AGREEMENT, please contact the Parties at
their addresses above.
IN WITNESS WHEREOF, the Parties have ex~this MEMORANDUM
