SUBORDINATION OF MORTGAGE

Know all men by these presents, that Bart F. Merritt and Deanna M. Merritt,
Husband and Wife, are the owners and holders of that certain mortgage made and
executed by JM Land Development, LLC, an Idaho Limited Liability Company the
original mortgagor, having an original principal balance Four hundred one Thousand and
No/lOO Dollars ($401,000.00) dated July 18, 2007, and recorded July 31,2007, in Book
667, Page 533, in the public records of Lincoln County, Wyoming, encumbering the area
described as follows:
See attached Exhibit "A"
For good and valuable consideration, the receipt of which is hereby
acknowledged, the Mortgagee does hereby agree and declare that the lien of the mortgage
to the undersigned, and above described, shall hencefOlih be subject, subordinate and
inferior to the lien of that certain mortgage from JM Land Development, LLC, Sherry
Merritt and Joel & Sherry Merritt (Borrower(s» dated June 29,2007, andrecorded
September 12,2007, in the public records of Lincoln County, State of Wyoming, in
Book 672, Page 49.
The undersigned, by execution of this subordination agreement, does not release
the lien existing by virtue of its mortgage, but only subordinates to the extent described
above.

particularly described as follows:
BEGINNING at a Point in the North line of the Aullman property, as referred to in the Deed
recorded in Book 577PR, on Page 454, with said Office, said Point of Beginning, being 336.41
feet South 89°41 '07" East, along said North line, from the Paul N. Scherbel RLS 164, 1976
location for the Southeast Corner of the Northwest Quarter of said Section 25;
thence Northeasterly, along a 50.00 feet Radius Curve to the Right, through a central angle of
