Special and Limited Powers. Principal's attorney-in-fact may act in its name, place
and stead and on its behalf do and execute all or any of the following acts, deeds and
things as they relate to any interest in any oil or gas or other property of Principal or
any partnership in which Samson Resources Company is a general partner (the
"Interests"), to-wit:
In general, but only as they relate to, are in connection with or arise out of
the matters specifically stated in Paragraph 1 immediately above, to execute,
acknowledge, affinn, certify to, modify, amend, deliver and accept any and
all Assignments, Bills of Sale, Assignments and Bills of Sale, Partial
Assignments, Assignments of OvelTide Interests, Oil and Gas Leases,
Fannout Agreements, Subleases, Pooling and/or Unitization Agreements,
Deeds, Easements, Rights of Way, Road Use Agreements, Leases, Operating
Agreements, Drilling Agreements, Letter Agreements, Transfers, Covenants,
Stipulations of Interest, Releases, Quitclaims, Ratifications, Division Orders,
and any other similar instruments and docwnents relating to the Interests.
Construction. This instrument is to be construed and interpreted as a special and
limited power of attorney.
Revocation. This power of attorney does not revoke any previous powers of
attorney granted by Principal. This power of attorney may be vohmtarily revoked at
any time by Principal's written revocation delivered to the person appointed
hereunder.
Disabilitv of Principal. This power of attorney shall not tenninate on disability of
the Principal.
Not General Power of Appointment. Any authority granted to Principal's attorney-
in-fact herein shall be limited so as to prevent this power of attorney from causing
the attorney-in-fact to be taxed on Principal's income and from causing Principal's
estate to be subject to a general power of appointment by its attorney-in-fact, as that
tenn is defmed in Section 2041 of the Internal Revenue Code of 1986, as amended.

6. Ratification. Principal hereby ratifies and confirms all that its attorney-in-fact, or his
successors, shall lawfully do or cause to be done by virtue of this power of attorney
and the rights and powers granted herein.

scribed hereto by its Executive Vice President, Sam D. Parker, this 15th day of June, 2007.
