Assignees shall be entitled to review all geologic information concerning any wells
drilled on the Leases. Such geologic information shall be provided to Assignees within
sixty (60) days after completion of each well on the Leases. This agreement to provide all
geologic information shall constitute a covenant running with the Leases.
This Assignment shall apply to all extensions and renewals of the Leases.. As used
herein, extensions and renewals shall be deemed to include any new leases acquired from
the same Lessor by the Assignor, its successor or assigns, covering the same lands as listed
on Exhibit A within two (2) years after the expiration of any of the Leases.
This Assignment is made without warranty, express or implied, except by, through
and under Assignor, but not otherwise. The terms and provisions of this Assignment shall
be binding on and inure to the benefit of Assignor and Assignees and their respective heirs,
legal representatives, successors and assigns.
It is understood and agreed between the parties that the execution of additional
assignments of certain individual Leases herein described, may be required on approved
governmental forms to facilitate approval of this transaction by governmental agencies;
Assignor hereby agrees to execute and furnish to Assignees such documents, and such
further assurances, as may be necessary to effectuate all of the terms of this Agreement.
NOW, THEREFORE, for $100 and other good and valuable consideration, the
receipt of and sufficiency of which is acknowledged, Assignor hereby grants, bargains, sells,
transfers, assigns and conveys to Assignees all of the overriding royalty interest in and to
all of the oil, gas, and other minerals produced, saved, and marketed from the Leases as
more particularly identified under the column IITotal Assigned and Conveyed to LM and
RMII on Exhibit A (the IIOverride").
WHEREAS, Assignees desire to receive an assignment of such overriding royalty
interests in and to such Leases.
WHEREAS, Assignor desires to assign to Assignees all of its existing overriding
royalty interest in and to such Leases plus an additional overriding royalty in some of the
Leases identified on Exhibit A; and
WHEREAS, Assignor is the record owner of overriding royalty interests in the oil
and gas leasehold interests (the IILeases") that are described on Exhibit II A" to this
Assignment; and

5 day of June, 2001, and is effective May I, 2001 (the IIEffective Date"), by and between
LiTMus EPO, LLC, a limited liability company formed under the laws of the State of
Colorado and having its principal address at 3607 E. Briarwood Ave., Littleton, Colorado
80112 (hereinafter, IIAssignor") and Logan MacMillan, and Randa G. MacMillan, residing
in the State of Colorado (hereinafter collectively called the IIAssignees"). '
