KNOW ALL MEN BY THESE PRESENTS:

THAT, OTTER CREEK, LLC, a Texas limited liability company whose address is P. O. Box
1557, Sealy, TX 77474, (hereinafter referred to as "Assignor"), for sufficient consideration, the
receipt of which is hereby acknowledged, does hereby assign, transfer, sell and convey to the
following: MATRIX PRODUCTION COMPANY
1650 HIGHWAY 6, SUITE 120
SUGAR LAND, TIC 77478
Hereinafter referred to as Assignee (whether one or more), all of Assignor's right, title and interest in
and to the oil and gas leases, overriding royalty interests and interests as it pertains to the wellbore
only of the Shute Creek 45, Lincoln County, Wyoming, more fully described on Exhibit "A"
attached hereto and made a part hereof
To have and to hold unto Assignee, its heirs, successors and assigns forever.
This assignment is made without warranty of title either expressed or implied. The properties
assigned herein are assigned on an "AS IS", "WHERE IS" basis, without recourse of any kind.
This instrument is cxccutcd as of the rcspectivc date indicated in the acknowledgment of the
signatOlY partics hereto, but effective for all purposes as of the 1st day of October, 2007.
