For the same consideration stated above, ASSIGNOR hereby covenants and agrees with ASSIGNEE to execute any other and further instruments of ASSIGNMENT and/or transfer that may be necessary to effectuate the purpose of this Assignment and/or to properly vest in ASSIGNEE the rights of ASSIGNOR in the NOTES, the COLLATERAL DOCUMENTS or the indebtedness secured thereby. For the convenience of the parties, this instrument may be executed in multiple counterparts.
