ACCESS EASEMENT FOR UTILITY FACILITIES
This ACCESS EASEMENT FOR UTILITY FACILITIES ("Easement") is
entered into this 1"2- day of CJcro8 ~ 2007, by and between Arnold A. Larson,
as Trustee of the CATHERINE LARSON TRUST, a Wyoming trust, and LARSON
HEREFORD RANCH LIMITED PARTNERSHIP, a Wyoming limited partnership
(collectively, "Grantor"), and P ACIFICORP, an Oregon corporation doing business as
Rocky Mountain Power ("Grantee").
RECITALS
A. Grantor owns certain real property described as Lot No. 37 and Section
33, T21N, Rl14W, 6th P.M., along with certain other adjacent lands, all in Lincoln
County, Wyoming (the "Grantor Property").
B. Pursuant to an Easement recorded May 10, 1991, in Book 296PR of
Deeds, Page 387, Lincoln County, Wyoming (the "Existing Easement"), which is
attached hereto as Exhibit A and by this reference made a part of this Easement, Grantee
owns, operates, and maintains certain power line facilities located on the Grantor
Property ("Grantee's Facilities") and desires to utilize the Grantor Property as a means of
access to Grantee's Facilities.

C. Grantor has agreed to provide Grantee with a means of access to Grantee's
Facilities subject to and in accordance with the terms and conditions set forth in this
Easement.
NOW, THEREFORE, in exchange ofthe mutual promises contained herein and
for other good and valuable consideration, the receipt and sufficiency of which is hereby
acknowledged, the parties to this Easement agree as follows:
1. Grant of Easement. Grantor hereby grants and conveys an easement to
Grantor over and across the Grantor Property for the purpose of pedestrian and vehicular
access, including equipment and utility vehicles, in connection with Grantee's use,
operation, construction, reconstruction, replacement, removal, and maintenance of
Grantee's Facilities.
2. Location of Access. The location of Grantee's easement and access rights
shall be limited to the locations described in Exhibit B and shown on Exhibit C attached
hereto and by this reference made a part hereof. With reference to Exhibit B. Grantee

shall only use the Secondary Access Roads when it is not reasonably practical to use the
Primary Access Roads. In event Grantee desires to use any other access locations,
Grantee shall first obtain Grantor's consent, which may be withheld with or without
cause.
3. No Public Dedication. The provisions ofthis Easement are not intended
to and do not constitute a dedication for public use, and the rights herein created are
private and for the benefit only of the parties hereto, their successors and assigns.
4. Successors and Assigns. The rights and obligations of the parties hereto
shall be binding upon and shall benefit their respective heirs, successors and assigns.
5. Due Authorization. The individuals executing this Easement each
represents and warrants (i) that he or she is authorized to do so on behalf of the respective
parties hereto, (ii) that he or she has full legal power and authority to bind the respective
parties hereto, and if necessary, has obtained all required consents or delegations of such
power and authority (whether from any partner, owner, spouse, shareholder, director,
member, manager, creditor, investor, developer, governmental authority, judicial or
administrative body, association or other person or entity), and (iii) that the execution,
delivery and perfonnance by the respective parties hereto ofthis document will not
constitute a default under any agreement to which it is a party.
6. Existing Easement. This Easement is intended only to supplement, and
does not in any way modify or supersede, the Existing Easement, which remains in full
force and effect.

partnership doing business in the State of Wyoming Grantor,
hereby conveys, warrants and grants to PacifiCorp, an Oregon
corporation, dba Utah Power & Light Company, whose principal
place of business is located at 1407 West North Temple, Salt
Lake City, Utah, its successors in interest and assigns,
Grantee, for the sum of Ten ($10.00) Dollars and other valuable
consideration, a perpetual easement and right of way for the
erection, operation, maintenance, repair, inspection and
replacement of an electric 25 kV distribution line and 40 poles
and 14 guy anchors, with the necessary guys, stubs, crossarms,
braces and other attachments affixed thereto, for the support
of said lines and circuits, on, over, under and across real
property located in Lincoln County, Wyoming, described as
follows:

damages, causes of action, claims, demand actions, costs and
expense of any nature, including court costs and attorney's
fees for injuries to and/or death of any person(s) whatsoever
and/ or property damage, including damage to Grantee's power
line, howsoever caused, growing out of or arising in whole or
in part, from the construction, operations, maintenance,

repair, renewal, reconstruction, removal or use of said power
line or any part thereof, or from the contents therein and
thereof.
In addition to all of the other rights and privileges
which are reserved to Grantor as a matter of law, there is
expressly reserved to Grantor the following:
1. All oil, gas and other minerals in, on or under
the above described lands.
2. The right to fully enjoy and use said premises
except as may be inconsistent with or interfere
with the rights and privileges herein and hereby
granted to Grantee.
Grantee agrees to pay compensation to Grantor, his
tenants and lessees for damages to crops, fences, timber,
livestock and real property which may arise from the operation
of said power line.
In the event it becomes :Qecessary for Grantor to
enforce any of the terms of this easement agreement, either
with or without suit, Grantee agrees to pay Grantor all
reasonable costs and expenses, including a reasonable
attorney's fee that may be made and incurred.
The rights, titles and privileges herein granted
shall continue for as long as the facilities installed
hereunder are in place and maintained by the Grántee, provided
that should said facilities be abandoned or discontinued for a
period of two (2) years, this right of way and all rights of
