Wyoming , hereby releasing and waiving all rights under and by virtue of the
homestead exemption laws of the state
to wit:
Lot 91 in Star Valley Ranch Plat 12, Lincoln County, Wyoming as
described on the official plat thereof, together with all buildings,
improvements and ~ppurtenances thereon situate or in anywise
appertaining thereto
SUBJECT, however, to all reservations, restrictions, protective covenants, exceptions, easements

This Real Estate Sale/Purchase Agreement is made and entered into this 1st day of
April 2007, by and between STEVEN H SIMPSON and REBECCA J SIMPSON,
husband and wife, as tenants by the entireties, 2788 Perkins Road, Thayne, 000128
Wyoming and JIM D WHEELER and SANDRA E WHEELER, husband and wife,
as tenants by the entireties, 240 South Forest Drive, Star Valley Ranch, Wyoming.
WITNESSETH:
That for and in consideration of the payments made and to be made, and the
covenants made to be kept and preformed, Sellers agree to sell, and Purchasers
agree to purchase the property located in Star Valley Ranch, Lincoln County,
Wyoming, more particularly described as follows, to-wit:
724 Vista Drive, Star Valley Ranch, Wyoming (plat 12 Lot 91) consisting of an A-
Frame House with Loft, Decks, 24X36 foot Garage with Lean-to, with Paved
Circular Driveway, including all improvements thereon and all appurtenances
thereunto belonging, as presently platted and recorded in the office of the Lincoln
County Clerk, Kemmerer, Wyoming.
ADDITIONAL TERMS:
1) The property will be accepted in "as is" condition, beginning 04/01/07.
2) The Sellers stipulate that the property has no liens attached to it and they
maintain a clear title to the property and clear title is now transferred to Jim
and Sandy Wheeler.
3) At this point in time, Sellers have paid all taxes, assessments, and penalties
due and payable for the property.
4) Since the Sellers presently hold Title Insurance, with the Deed free and clear
of any liens or holdings, new title insurance will not be required from Sellers.
5) The Sellers will have an attached "1 st Mortgage Lien" to this property until
loan is satisfied.
6) The Sellers retain first option to repurchase this property if and when buyers
decide to sell said property.
7) The Buyers will carry real estate insurance on said property to adequately
cover the financial obligation to Sellers due to any unforeseen property loss.
8) The terms and conditions of this contract apply to and are binding on the
heirs, successors and executors of both said parties.
FINANCIAL AGREEMENTS:
1) Purchase price shall be One Hundred Eighty Thousand dollars. (180,000.00).
2) Buyers will make a Twenty Thousand dollar ($20,000.00) down payment.
3) Sellers agree to finance the balance of One Hundred Sixty Thousand dollars
($160,000.00) at 6.25% interest rate on a 30 year amortization schedule.
4) Sellers retain the right to renegotiate the loan at 10 years (April 2017) and
will require a final payment for the balance of the loan at that time unless
renegotiation is satisfactory to both parties.
5) A $985.15 monthly payment will be made on the 1st day of each month.
6) Any early or additional payments will not be accepted without sellers' prior
approval.

SELLER AND BUYER COSTS AT TIME OF SALE/PURCHASE:
1) 2007 Property taxes, Star Valley Ranch Association fees will be prorated
accordingly and paid by both parties.
2) Buyers will pay the SVRA transfer fee, placing membership/ownership into
their names.
3) Sellers will pay all Document recording and filing fees.
4) Buyers acknowledge that the 500 gallon Propane Tank that sits on the
property is leased and not owned by the Sellers. Sellers will pay for
continued lease of the propane tank untilNovember 1st, 2007, at which time
Buyer will assume sole responsibility for any and all ..rrangements and costs
associated with PPS Co., Inc. (the gas company).
5) Sellers will gift to the Buyers the remaining 90 gallons of propane in the tank
at time of purchase.
This three page Agreement constitutes the entire understanding and agreements
between both parties relating to the subject matter hereto.
IN WITNESS WHEREOF, this agreement has been executed in triplicate by the
respective parties. 1 copy to Buyers, 1 copy to Sellers and 1 copy attached to the
Deed filed with the Lincoln County Clerk, Kemmerer, Wyoming 83101.
